Secondo Manager Magazin i sindacati tedeschi avrebbero bloccato la vendita di Ducati per cui Vw aveva ottenuto 1,5 miliardi. L'assenza di Piech e Winterkorn si sta facendo sentire con le famiglie Porsche-Piech, la Bassa Sassonia, gli emiri del Qatar e i potentissimi sindacati stanno combattendo furiosamente una contro l'altra. Il cfo Witter vuole vendere partecipazioni per 15 miliardi di euro e punta a convincere l'azionista di maggioranza Porsche pur di ottenere il via libera.

Inventindustrial cioè Bonomi, che nel 2012 aveva venduto l'azienda di Panigale ad Audi.

Per adesso non si sa nemmeno se Vw venderà Ducati o meno, fino ad una settimana fa la vendita sembrava certa.
Il gruppo tedesco ha bisogno di soldi, se non sarà quest anno, il prossimo le cessioni, tra cui Ducati, arriveranno.

Secondo handelsblatt Harley Davidson si è ritirata dal bidding process per l'acquisto di Ducati, le offerte sono parecchie e Vw potrebbe ottenere un buon prezzo.
Il condizionale è d'obbligo perché dentro Wolfsburg molti sono contrari alla vendita anche perché Panigale guadagna bene.
La vendita di Ducati non è una decisione strategica fondamentale per Vw però potrebbe essere l'inizio di un cambio radicale di politica aziendale. Per Piech, Winterkorn, Ig Metall e Bassa Sassonia niente era di troppo: bisognava essere il gruppo più grande al mondo, avere i dipendenti più felici nonché più pagati, doveva essere quasi tutto internalizzato dalla produzione di componenti alla vendita, si doveva offrire modelli dalla Up ai camion Scania alle moto Ducati.
Questa megalomania ha giocato un ruolo non secondario nella genesi del dieselgate, adesso il cfo Witter vuole tagliare molti rami secchi ma sa bene che senza il via libera della Bassa Sassonia e dei sindacati ogni decisione verrebbe bloccata.
Gira voce che Witter vorrebbe cedere assets per 20 miliardi di euro per riempire le casse e finanziare l'offensiva elettrica. Il taglio dei costi per 8 miliardi di euro all'anno non sarebbe sufficiente.

BERLIN (Reuters) - Volkswagen's (VOWG_p.DE) planned sale of motorcycle brand Ducati and transmissions maker Renk has currently no majority backing on the carmaker's supervisory board, with opponents to asset sales feeling invigorated by the group's strong results.

Europe's largest automaker has tasked banks to evaluate options for Ducati and Renk including divesting the two divisions as it aims to streamline operations to help fund a post-dieselgate strategic overhaul.

Volkswagen has been reviewing its portfolio of assets and brands since announcing in June 2016 a multi-billion-euro shift to electric cars and new mobility services as part of its so-called Strategy 2025.

Five bidders have been shortlisted to buy Ducati, including Italy's Benetton family, with offers received valuing the brand at 1.3 billion-1.5 billion euros ($1.76 billion), a source said on Saturday.

But VW's labour leaders, occupying half the seats on the 20-member supervisory board which decides on asset sales, resist a sale of Ducati and Renk without compelling financial reasons.

"The employee representatives on Volkswagen's supervisory board will neither approve a sale of Ducati, nor one of Renk or MAN Diesel & Turbo," a spokesman for VW group's works council told Reuters late on Saturday.

"Everyone who can read the VW half-year results should know: We don't need money and our subsidiaries are not up for grabs by bargain hunters."

Six-month operating profit at VW group jumped 19 percent to 8.9 billion euros, the carmaker said on Thursday, as cost cuts and R&D improvements at the core namesake brand earned VW a respite from the billions of euros in costs for fines, vehicle refits and compensation related to its dieselgate scandal.

One source at VW said that given strong union opposition, VW is now reviewing the plan to sell Ducati as it doesn't want to risk working with labour on implementing a hard-fought turnaround plan for the VW brand, seen as crucial by investors.

Though Ducati is owned by VW's luxury brand Audi (NSUG.DE), the VW group's supervisory board has to approve a possible sale. Audi declined comment.

The billionaire Porsche and Piech families, controlling 52 percent of voting shares in VW and holding four supervisory board seats, do not support selling Ducati or Renk, two other sources at VW group said.

A spokesman for Porsche SE (PSHG_p.DE), the family's holding company, declined comment.

With 20 percent of voting rights in VW, Lower Saxony, where the carmaker employs more than 100,000 staff at six plants, can veto decisions such as factory closures.

Holding two board seats, Lower Saxony traditionally teams up with VW's worker representatives for the sake of protecting jobs and projects. A spokeswoman declined comment when asked whether the state government would back a sale of Ducati or other assets.

"The management board has not even asked the supervisory board of Volkswagen, where such sales have to be ratified, for its approval," the works council spokesman said. "Therefore we advise all supposedly interested parties: Save your time to check any books. A sale will not happen."





The five bidders shortlisted to buy Ducati will be given access to the company's books after the summer, the first source said.

With most of Audi's executives away for a three-week summer break, a decision on whether management will stick to the planned sale will not be taken until September or October, a source close to Audi said. Audi declined comment.

VW finance chief Frank Witter, speaking on Thursday's earnings call, declined any comment on "speculation" surrounding VW's asset sales plans.


I sindacati di Vw stanno facendo la voce grossa per bloccare la vendita di Ducati. Secondo loro dato che i risultati economici della prima meta´del 2017 sono buoni non c´e´necessita´di vendere l´azienda italiana cosi´come Renk e Man Turbo&Diesel.
Sarebbe una bella sconfitta da incassare per Müller e Witter, nessuna delle 3 aziende citate e´indispensabile per Vw ( sono direi inutili), lo snellimento del gruppo verrebbe bloccato sul nascere.

Alla fine "voci" dicevano che nn c'era mai stata vera intenzione di vendere ducati, è stato fatto tutto.sto polverone per vedere quanto potrebbe valere veramente e quanto fosse appetibile.

Non credo, Witter (cfo di Vw) è alla ricerca di liquidità. Ducati è completamente inutile per il gruppo Vw così come Renk e Man Diesel&Turbo. Un Marchionne sarebbe riuscito senza problemi a venderli a prezzi salati, purtroppo Vw agisce sui generis. Mi domando in che ruolo i sindacati di Vw possano decidere quali divisioni sono necessarie o meno.

LONDON/MILAN/BERLIN (Reuters) - German carmaker Volkswagen (VOWG_p.DE) has put the 1.5 billion-euro ($1.8 billion) sale of Ducati motorcycles on hold after resistance from German trade unions and internal rifts on strategy, sources familiar with the matter told Reuters.

Ducati is wholly controlled by VW’s luxury brand Audi (NSUG.DE), which is at odds with the parent over strategy, and a decision to sell the 91-year old business, which is based in the Borgo Panigale district of the northern Italian city of Bologna, needs to be approved by VW’s supervisory board.

Labour leaders at VW, who hold half the seats on the 20-member board, have strongly opposed a sale regardless of price.

VW has told five bidders to hold off making binding bids for Ducati, which it put up for sale in April to help raise cash to fund a strategic overhaul following the emissions scandal at Europe’s largest automaker, the sources said.

The bidders, some of whom expressed astonishment and anger at the way the process had been handled, were ready to pay about 1.5 billion euros for Ducati, the sources said.

VW, Audi and union representatives declined to comment.

Italy’s Benetton family, U.S. automotive firm Polaris Industries and Ducati’s former owner Investindustrial made it to the last stage of an auction in July, along with private equity funds Bain Capital and PAI Partners.

The bids valued the business at 1.3 billion to 1.5 billion euros, representing a multiple of more than 13 times Ducati’s core earnings of about 100 million euros.

DIFFERENCES

The auction had been expected to wrap up later this year with binding bids due in October, one of the sources said.

“At this stage it is highly unlikely that negotiations will be resumed this year,” one of the sources said, adding bidders were growing impatient.

“There are still differences between VW and Audi that need to be resolved and the unions are far from backing the sale,” he said.

A source close to Audi said a reshuffle of VW’s top management board, which swapped four out of seven executives, had slowed the sales process in July, undermining management’s ability to press ahead with the planned divestment.

Another source close to VW said no decision could be taken unless all the parties involved sat down and talked, but no meeting had been scheduled with VW, Audi, the German unions and possibly the Porsche-Piech family, which owns a majority stake in Audi’s parent VW.

This source said Audi was well aware that bidders were getting nervous, but stressed the need for consensus before the sale process could be resumed.

VW is due to hold a board meeting on Sept. 29 although any decision on Ducati’s sale is seen as unlikely, another said.

VW’s head of strategy, Thomas Sedran, told Reuters last month that the German group was in no hurry to find a new owner for Ducati as it was more focused on its multi-billion-euro shift toward electric vehicles and transport services than a divestment.


Sembra che la vendita di Ducati sia definitivamente tramontata, i sindacati hanno bloccato definitivamente il bidding process. Eppure l'interesse c'era.

Il management in particolare Müller, Witter e Sedran ( rispettivamente A.D., direttore finanziario e direttore dello sviluppo strategico) volevano vendere Ducati e avevano ottenuto un via libera dal Qatar e dalle famiglie Porsche-Piech, ma non dai sindacati. Lo stesso management Audi ( a cui Ducati appartiene) aveva espresso dubbi sulla scelta. Nel frattempo metà del board di Audi è stato spazzato via.
È un fatto indiscutibile che Ducati non serva a nulla a Vw e che sarebbe meglio cederla insieme ad altre aziende ( Man Turbo & Diesel, Renk, Porsche Holding Salzburg) per rendere Vw più snella.
Da una parte dello spettro c'è Marchionne che riesce ad estrarre valore anche da aziende decotte, dall'altra Vw che potrebbe ottenere una capitalizzazione molto più elevata dell'attuale se fosse un po' più duttile nelle scelte strategiche.

INGOLSTADT, Germany -- Audi has abandoned plans to sell its Italian motorcycle brand Ducati, its CEO Rupert Stadler said, in a sign of confidence that the automaker expects to be able to carry the costs of its transformation.

Steps to reduce costs by 10 billion euros ($11.8 billion), cut red tape and deepen ties with fellow Volkswagen-owned brand Porsche are "gradually increasing our financial and organizational leeway for the strategic realignment," Stadler told reporters.

There is therefore no economic need to sell Ducati, Stadler said. Volkswagen asked banks to evaluate options for Ducati and transmissions maker Renk earlier this year as seeks to become nimbler in its shift towards electric and self-driving cars following its diesel emissions cheating scandal.

"I can assure you that Ducati belongs to the Audi family," said Stadler. "Ducati is the perfect implementation of our premium philosophy in the world of motorbikes."

The plans had already stalled in the summer when VW's powerful labor unions, backed by the controlling Porsche-Piech families, opposed the logic and need for asset sales given the group's financial resilience.

Investors and potential Ducati buyers, however, expect that VW could change its mind again and eventually opt to sell the asset which they say has least strategic importance to VW.

"For Volkswagen's powerful works council, it could be an easy bargaining chip they could offer to push through something completely different," a person close to the matter said.

Investors have long favored divestments to simplify VW's group structure and to strengthen its management's ability to push through structural changes against the unions' wishes.

Audi, which owns Ducati and Italian supercar maker Lamborghini, last month reported higher operating profit and revenue for the first nine months, helped by growing auto demand in the higher-margin western European and U.S. markets.

While pushing the costly shift to zero-emissions and autonomous technologies, holding on to the profitable Ducati division and the lucrative Lamborghini brand has become more important, Stadler said.

"Looking after a premium bouquet is as difficult as the work of a gardener," Stadler said. "Therefore, I am pleased with every new flower, with every promising new branch," he added, predicting Lamborghini's sales would double on the back of its new Urus SUV.

Separately, Stadler said Audi will spend nearly half a billion euros over the next eight years on training staff for the digital age, with steps to develop as well as hire experts such as automotive app-designers and car robotics specialists.

To rein in costs, Audi wants to keep headcount stable, at least over the next 2-3 years, even as it plans to have more than 20 electrified vehicles on the market by 2025 and pushes into digitized mobility services, the CEO said.

With two-thirds of Audi's 60 or so models by 2025 still slated to be combustion-engine cars, tightening carbon dioxide (CO2) rules will pose the "biggest risk" in coming years, he said, adding that Audi would face 1 billion euros of fines if its average fleet CO2 emissions exceeds EU limits by no more than eleven grams per kilometers.

Audi has overhauled its whistleblower system to allow domestic and international staff to flag illegal conduct more easily and it has set up a permanent investigation office.

Audi plans early next year to dissolve a task force set up to monitor fixes for 850,000 diesel-fueled cars that the automaker said in July needed updates with emissions-control software to help avoid potential driving bans.

"It's a sign that we can slowly shift from crisis mode back into standard operation," Stadler said, predicting the check-ups to be completed by the end of the first quarter

Ad inizio anno sembrava certa la cessione. Witter aveva incaricato Evercore di trovare acquirenti e le proposte erano parecchie con Offerte che partivano da 1,2 miliardi di euro.
Le resistenze all´interno di Vw esercitate dai sindacati Hanno bloccato l´operazione. E´chiaro che la vendita di Ducati cambierebbe poco le cose per Vw ma e´indubbio che il gruppo sia troppo ipertrofico per essere guidato come ai tempi di Piech e Winterkorn. Müller sta cambiando molte cose ma sono ancora molto indietro con il reallineamento strategico.

FRANKFURT -- Volkswagen Group CEO Herbert Diess says motorbike brand Ducati could be merged with a rival or enter an alliance, given a lack of synergy potential with the group's other businesses, German daily Handelsblatt reported.

"I can imagine a combination or a partnership with other brands. Ducati as a motorbike icon business within the Volkswagen Group is not sufficient," Diess, who took the helm at the group in April, told the paper.

VW has struggled to find a long-term solution for the brand amid internal power struggles, with a 1.5 billion-euro ($1.8 billion) auction stalled last year amid resistance from German unions.

Diess prevede un'alleanza o una fusione per Ducati, termine diplomatico per dire che la vuole vendere. Se e quando ciò avverrà rimane un mistero.
