U antitrust regulators will decide by June 17 whether to clear a proposed $50 billion merger between Fiat Chrysler Automobiles and PSA Group, a European Commission filing said on Monday.

The companies announced the deal to create the world's fourth-biggest automaker last year, putting under one roof the Italian company's brands such as Fiat, Jeep, Dodge, Ram, Maserati and the French company's Peugeot, Citroen, Opel, Vauxhall and DS marques.

FCA and PSA sought EU approval on Friday, the Commission site showed.

EU competition enforcers can approve the deal with or without conditions or open a full-scale investigation of about four months following the end of the preliminary review should they have deep concerns.

The deal comes amidst falling car sales across the world as companies have shut down production lines and showrooms to contain the coronavirus outbreak, although some companies are reopening plants as countries ease lockdowns.

Fiat Chrysler Automobiles and French rival PSA Group decided to scrap the 1.1 billion euro ($1.2 billion) dividends that each agreed to pay as part of their merger agreement, citing the negative impact of the global coronavirus pandemic.

Fiat Chrysler and PSA had vowed to each distribute those dividends this year as part of their agreement in December to create the world’s fourth-biggest carmaker. The two also said at the time that as part of the deal, Fiat Chrysler would distribute a 5.5 billion euro ($6 billion) special dividend to shareholders. They made no mention of that payment in their joint statement Wednesday.

The boards of both companies said preparations for the merger are still “advancing well,” and that the deal is on track to close before the end of next year’s first quarter.

The Italian-American automaker is seeking to conserve cash after burning through $5.5 billion in the first quarter while its North American plants were shuttered and new-car demand stalled. PSA laid the groundwork for a possible revision of the payment last month after revealing a 16 percent plunge in first-quarter sales.

Fiat Chrysler Automobiles' decision to scrap its dividend marks another setback for plans by the Agnelli family's Exor arm to raise cash after a $9 billion sale of its reinsurer unit PartnerRe collapsed this week.

FCA and PSA Group, which have agreed a tie-up to create the world's fourth largest automaker, said late on Wednesday they were both withdrawing their annual dividend. That will allow them each to preserve 1.1 billion euros ($1.2 billion) in cash during the coronavirus crisis.

Exor, led by Agnelli scion John Elkann and FCA's controlling shareholder with a 28.9 percent stake, will miss out on around 320 million euros in cash at a time when two deals to reshape its portfolio of businesses have either been scrapped or delayed.

The coronavirus crisis had already forced vehicle and equipment maker CNH Industrial, also controlled by Exor, to delay to late 2021 "or beyond" a plan to split in two and list its truck, bus and engine business, which was initially due to be completed by early next year.

All eyes are now on the $50 billion FCA-PSA merger.

The two automakers said on Wednesday that preparations for their planned 50-50 merger were "advancing well" and that the closing was expected on schedule, before the end of the first quarter of next year.

The sale of Bermuda-based PartnerRe foundered after Exor resisted attempts by French insurer Covea to drive down the price of the cash deal.

Some saw that as a warning shot to PSA not to try the same tactics with FCA where Elkann is the chairman.

"With its decision not to accept a discount on PartnerRe, Elkann has sent a strong message to PSA and its CEO (Carlos) Tavares," an investment banker close to the situation, who asked not to be named, told Reuters.

"The message is: don't expect to come around and get much different conditions on the FCA-PSA merger."

The decision to scrap payment of ordinary dividends, which had been announced in December as part of the tie-up agreement between the two automakers, did not alter the terms of the deal as both companies took the same step.

Analysts are, however, focusing on a 5.5-billion-euro special dividend FCA is set to pay to its investors just before completing the merger.

Intesa Sanpaolo analyst Monica Bosio said she still expected the payment of the special dividend, "which implicitly represents the premium assigned to the group in the deal thanks to its positioning in the U.S. and to its high-value brands such as Jeep, Ram and Maserati."

Marco Opipari, an analyst at Fidentiis, said the merger was essential to the two group's long-term competitiveness, especially in the current scenario, but that some terms of the agreement could be rediscussed.

"A Solomonic solution could be to cut FCA's extraordinary dividend to 3 billion euros," he said, adding that, as a rebalancing, PSA could ditch the planned spin-off of its controlling stake in supplier Faurecia.

The COVID-19 spread has hit asset valuations hard and raised questions about the terms of deals struck before the virus swept across the world. Shares in both FCA and PSA are both down about 45 percent this year.

Exor's other investments include Ferrari, Italian soccer champions Juventus and weekly magazine the Economist.

Fiat Chrysler seeks $6.8B state-backed loan to weather crisis, report says

MILAN -- Fiat Chrysler Automobiles is in talks to obtain a state-backed credit line of about 6.3 billion euros ($6.8 billion) from Italy to buttress the automaker's finances against the steep downturn caused by the coronavirus, according to people familiar with the matter.

FCA's local unit is discussing the facility with lead lender Intesa Sanpaolo, the people said, asking not to be named because the matter is private.

Sace, Italy's trade-credit insurer, will provide a public guarantee for 80 percent of the amount, they said. The guarantee would need to be granted by a decree of the Finance Ministry, the people said.

Representatives for Fiat Chrysler, Intesa and Sace declined to comment.

The automaker is seeking to shore up liquidity after burning through $5.5 billion in the first quarter while its plants were shuttered, and new-car demand stalled.

Fiat Chrysler and Peugeot maker PSA Group decided earlier this week to scrap the 1.1 billion-euro dividends that each agreed to pay as part of their merger agreement, citing the negative impact of the coronavirus pandemic.

Italy, hard hit by the virus outbreak, is trying to prop up its battered economy with a second stimulus package worth 55 billion euros. Prime Minister Giuseppe Conte's government this week approved measures focused on liquidity for businesses and aid to families hurt by over two months of a nationwide lockdown.

The Fiat Chrysler loan would be the largest financing guaranteed by a European government during the pandemic after Renault's 5 billion-euro deal last month.

Last month, Italy approved a package of 200 billion euros of state guarantees for loans to larger companies through Sace.

Fiat Chrysler has already raised fresh funds to manage through the crisis. In late March it obtained a new 3.5 billion euros credit facility; one month later it announced it had drawn down 6.25 billion euros from an existing revolver, plus 1.5 billion drawn from bilateral credit lines.

John Elkann, scion of the billionaire Agnelli clan, isn’t having an easy Covid-19 crisis. His $9 billionsale of the PartnerRE reinsurance business collapsed last week after the family’s holding company, Exor NV, refused to lower its asking price price. Then Fiat Chrysler Automobiles NV said it would scrap a proposed dividend for 2019, denying Exor another 315 million euros ($341 million) in change.

And things could get worse. The terms of Fiat’s proposed merger with France’s Peugeot SA, negotiated before the coronavirus pandemic, require the Italian carmaker to pay its shareholders — the largest of whom are the Agnellis — a 5.5 billion-euro special dividend before the deal closes.

The size of that payment always looked questionable, given that Fiat’s balance sheet is inferior to Peugeot’s. The Covid-19 outbreak makes it unconscionable. Having halted production, both companies are burning through cash and Fiat has had to ask Italy to guarantee a 6.3 billion-euro three-year loan to support its domestic suppliers. Surely the first priority here should be making sure the new company has strong enough finances as the economy starts to reopen.

The politics of Fiat asking for help from Rome is especially awkward after the carmaker moved its tax residency to the U.K. in 2014, and its legal headquarters to the Netherlands. Last year, Italy’s competition watchdog said that the country’s tax revenues had suffered significantly as a result.

Paying a fat dividend to the Agnellis and other shareholders after leaning on taxpayers probably wouldn’t go down very well with the public — as Germany’s BMW AG and other recent dividend payers have discovered. If Elkann still wants his sweetener, the two parties will need to find a way that doesn’t bleed the new merged entity of cash.

Right now, money is flowing rapidly out of both companies. For the most part that’s because suppliers still need paying, even though the companies aren’t selling many cars. I’ve written before about companies suffering from these so-called negative working-capital problems.

Fiat ate through 5 billion euros of cash in the first three months of 2020 and it could consume twice that in the second quarter, according to Jefferies analyst Philippe Houchois. He expects Peugeot to burn through about 8 billion euros of cash in the first half of the year.

Neither company is in danger of running out of money, and those working capital-related outflows should reverse once the carmakers start producing and selling cars again. Even so, one lesson of Covid-19 is that companies need larger cash cushions. Until there’s a vaccine, there’s a risk that a second virus wave would trigger yet more industrial disruption.

There’s no great urgency for Fiat and Peugeot to alter the terms of their union as the deal isn’t expected to close until early next year. The rationale for joining forces remains intact; the cost savings from working together look even more important now. But they should be thinking of ways to make the future company resilient.

Structured as a 50-50 merger, Peugeot ended up paying a premium for boardroom control, as well as for the Italian company’s lucrative U.S. truck business — even though Peugeot shares had been valued more highly by the market. Some of the arguments for paying Fiat a sweetener remain valid: Peugeot’s reliance on the struggling European car market isn’t looking too attractive right now.

But there are other ways to compensate Fiat shareholders. For example, Peugeot is due to spin off its 46% stake in parts supplier Faurecia SE to its shareholders as part of the original merger terms. This could be retained instead by the combined business.

Without their Fiat dividends, the Agnellis will have less money to reinvest in new ventures. Right now, though, the car industry’s need is greater

The coronavirus will leave no industry untouched but the impact is particularly acute for companies that depend on prompt payment from customers to fund their businesses.

In sectors such as car making and the travel industry, it’s common for companies to hold little inventory and settle with suppliers long after they’ve received payment from their customers.

As a result they often have what’s called negative working capital: Their trade payables exceed the sum of inventories and customer receivables. In other words, they owe more to their suppliers than their customers owe them.

When revenues are growing, this is a big advantage. Cash pours into the business which can be used to fund investments.

Customer payments and deposits effectively serve as a free form of finance and that float gets bigger as sales expand.

It’s certainly a very efficient way to run a business — Amazon.com Inc. excels at it — but negative working capital can make a balance sheet look stronger than it really is. That’s because the effect is reversed when sales suddenly slow down or shrink. Suppliers still need paying but there’s little new customer cash coming in. As a result, cash rushes out the door. This is what threatens to happen now that much of the world is cooped up at home due to coronavirus.

“In periods in which our vehicle shipments decline materially we will suffer a significant negative impact on cash flow and liquidity as we continue to pay suppliers for components purchased in a high volume environment during a period in which we receive lower proceeds from vehicle shipment,” Fiat Chrysler Automobiles NV warned in its annual report.

Cash Vulnerability

Negative working capital can cause problems when demand suddenly slumps

Source: Bloomberg, Opinion calculations

Accounts receivable and inventory are netted against trade payables. Some finance company receivables not reflected here.

A rule of thumb is that French, Italian and U.S. automakers have negative working capital, while their German peers do not. A six-week production hiatus caused by strike action lowered General Motors Co.’s free cash flow by $5.4 billion.

Optimizing working capital has been a key focus for carmaker Peugeot SA and boss Carlos Tavaresrepeated the trick when he acquired Opel/Vauxhall from GM.

Like merger partner Fiat, Peugeot has now been forced to shutter its European car plants. If sales slump for a prolonged period, its 17 billion-euro ($19 billion) cash buffer could dwindle.

Tour operators are accustomed to large swings in working capital: They typically get paid by customers ahead of the busy summer season and pay their suppliers afterwards. 1 Bank overdrafts can tide them over during the winter period when cash tends to be lower.

Still, a sudden slowdown in demand can upset those calculations, as Thomas Cook Group Plc discovered last year. Customers delayed bookings, suppliers tightened credit terms and the U.K. tour operator went bust.

Shares in rival TUI AG slumped this week after it suspended the vast majority of its travel, cruise and hotel operations and said it would apply for state-aid guarantees. The company has 1.4 billion euros in cash and available banking facilities but this is far exceeded by a deeply negative working capital position — at the end of December it held about 2.9 billion euros of advance payments from customers.

The cash spring, once a big advantage for many firms, could be about to recoil.

Alfa Romeo will rely on the two smaller SUVs to ensure it achieves its goal of selling 400,000 cars annually. The firm hasn’t yet announced its 2019 global figures, having been delayed by the Covid-19 crisis, but it sold 54,365 cars in Europe – a drop of more than 50% on the year before.

It’s not until Alfa Romeo hits that target that enthusiasts might get what they desire: the pretty sports cars for which the brand is known. The styling of the EV won’t be identical to the Tonale, according to Alfa Romeo.

A spokesman said: “A family feel will be respected – we have style themes across the range – but we don’t want to do a copy and paste across the line-up, because every segment has its own personality, and customers are different in terms of age and expectations.”

While the plug-in hybrid powertrain in the Tonale will use existing FCA hardware, sharing with the Jeep Renegade, it’s expected that the electric Alfa Romeo will be the first FCA car to make use of the technology gained from the merger with PSA.

The EV will sit on a version of PSA’s eCMP platform, on which seven zero-emissions models will be based by next year. These already include electric versions of the Peugeot 208, Peugeot 2008, Vauxhall Corsa and DS 3 Crossback.

The e-2008, of a similar size to the future Alfa Romeo EV, uses a single motor to drive its front wheels, producing 136bhp and 192lb ft of torque. A 50kWh battery pack gives it up to 192 miles of range on the WLTP test cycle.

However, the specifications of Alfa Romeo’s offering will be different – due not only to how rapidly EV technology is developing but also to the brand’s focus on performance.

Talking about the approach to Alfa Romeo’s first EV, the spokesman said: “When we launched the Giulia and Stelvio, we were recognised as a sporty brand, because of the amazing handling. We’re trying to communicate that our cars are not only sporty but can also be driven in a comfortable way – something that previously customers wouldn’t expect from Alfa Romeo, to help us appeal to a larger customer base.

“For electric, we will stay consistent to Alfa Romeo’s sportiness and use electric motors for a performance approach. We’re looking to achieve an Alfa Romeo customer’s expectations but also [those of] customers looking for comfort.”

He added that Alfa Romeo sees the small SUV market as the best in which to offer an EV, saying: “The B-segment is probably the best solution for range and usage, and the recharging infrastructure will be better [by the time we launch the car].”

The spokesman continued: “We will see the evolution of the market quite quickly. We’re seeing different approaches in the market – some successful, some not so. We have the opportunity to see what advances and react in the proper way.”

Alfa Romeo is set to emulate some other brands that are launching EVs, such as Porsche with the Taycan, by offering artificial sounds.

The spokesman said: “The idea isn’t to make fake sounds to recreate an internal combustion engine, because we won’t have fake things inside Alfas. The idea is to create a specific sound to get emotion from both the driver and car. An advantage of an electric car is silence – if the customer wants to drive that way. But also the possibility of an aggressive mode

:palm:
