Intanto, nel silenzio di tutti, compreso questo forum di busoni, in Fca hanno debuttato i nuovi benzina firefly 3 cilindri 999 e 4 cilindri 1332. Multiair seconda generazione e turbina su tutte le cilindrate. Penso sia roba di origine brasiliana

Devono spaccare qualche catena e qualche variatore di fase per assurgere a ruolo di motori al pari della concorrenza :D

In realtà, se non ho capito male, prenderanno anche il posto del fire 1.2, che, sinceramente, è la cosa meno riuscita in assoluto di panda e 500; un pandino 999 turbo da 120 cv; pensaci ragazzo, è il tender perfetto per l'alfona

Polonia si riprende Panda affiancandola a 500.

Il 3/4 cilindri sostituiranno sia il Fire che il cessone bicilindrico, mi pare che anzi proprio in Polonia hanno sostituito sulle linee di produzione quel cessone impresentabile:-)
Per ora i firefly evo di quelli Brazil ci sono solo su Renegade penso li metteranno a giorni su 500x 2019....panda boh... dovevano fare la nuova nel 2019/20 in Polonia con quei motori forse tirano avanti ancora a Pomigliano...vedremo se tra un po' di mesi la situazione sarà un pelo più chiara di quella degli ultimi 3 anni e si ritornerà a fare auto non solo Plan mai rispettati.

AMSTERDAM -- Fiat Chrysler Automobiles' new CEO, Mike Manley, will announce his management team by the end of September, the company's chairman said at a shareholder meeting called to vote on his appointment.

Manley took the helm at FCA on July 21, four days before the death of former CEO Sergio Marchionne.

FCA Chairman John Elkann said Manley was the only candidate to succeed Marchionne.

Manley has been the largest single contributor to FCA's success, having led Jeep, Ram and the Asia Pacific region, which is FCA's biggest growth opportunity, Elkann said.

The decision to appoint Manley was based on succession plans the board was working on with Marchionne for his planned departure in 2019, he said.

A minute's silence was held before the start of FCA's extraordinary shareholders meeting here on Friday.

Manley's election as an FCA executive board member was approved by more than 99 percent of the votes cast at the meeting. Elkann thanked shareholders for "this great vote of confidence."

Besides his role as FCA CEO, Manley is also interim head of the automaker's Europe, Middle East and and North Africa region following the departure of Alfred Altavilla in July.

Fiat Chrysler Automobiles is seeking more than 6 billion euros ($7 billion) for its car-part unit Magneti Marelli SpA in exclusive sale talks with a supplier owned by KKR & Co., a private equity firm that’s eyeing a lower pricetag, people familiar with the matter told Bloomberg.

The U.S. fund may aim to pay around 5 billion euros because conditions for Fiat’s alternative plan of spinning off the division have deteriorated, said the people, who asked not to be named because the talks are private. Fiat Chrysler chose to begin talks with KKR over an offer from competing fund Apollo Global Management of more than 6 billion euros, they said. KKR would merge Marelli with its Japanese parts maker Calsonic Kansei, which is leading the talks.

The difference in valuation between Fiat and KKR is a major hurdle that has led to two extensions on the original end-August deadline to complete the discussions, the people said, adding that talks may still fall apart. The deal is considered complex because it would combine Asian and European competitors.

A spokesman for Fiat Chrysler declined to comment as did KKR.

The sale of Magneti Marelli would become one of the first major decisions for Fiat Chrysler CEO Mike Manley, who took over on July 21, days before Sergio Marchionne died. Marchionne, who had favored a separation of the business by distributing shares to investors, had said Fiat was open to changing its mind for a "big check."

Magneti Marelli may achieve an enterprise value of $7.6 billion based on comparisons with peers and will likely receive high-yield credit ratings, Bloomberg Intelligence said in a note. The automotive supplier could provide Fiat Chrysler with more than $2 billion in dividends. 

Market conditions for a spinoff and a listing of the unit on the Milan stock-exchange have deteriorated in recent months as global trade tensions and profit warnings from automakers including Fiat Chrysler, as well as suppliers like Continental AG, have eroded confidence in the industry.

Volvo delay

Magneti Marelli’s French competitor, Faurecia SA, trades at about 3.8 times expected earnings before interest, taxes, depreciation and amortization. At the same valuation, the Fiat unit would be worth less than 4 billion euros, the people said. Marelli is expected to report about 1 billion euros in earnings before interest, taxes and other expenses this year. 

Volvo Cars this week delayed plan for a share sale, saying the timing is "not optimal." The backtracking from plans that were said to involve a share sale as early as this fall in Sweden and Hong Kong shows the worsening strain from trade conflict. Still, luxury carmaker Aston Martin is pushing ahead with its plan for a London initial public offering.

Before embarking on talks with KKR, Fiat fielded interest for the car-parts business from other potential buyers in addition to Apollo, including an unnamed Asian parts supplier and Bain Capital, people familiar with the matter said last month.

The Italian-American carmaker has said it’s sticking to plans decided by the board in April to spin off the business, while pledging to evaluate bona fide proposals for alternative transactions.


Il piano iniziale per Magneti Marelli era la quotazione (nello stesso modo di Fiat Industrial e Ferrari) ma lo stesso Marchionne non aveva escluso la possibile vendita ad un singolo acquirente. Non dimentichiamoci che nel 2017 Samsung arrivò vicinissima all'acquisto di MM, sfumato per l'esosità di Maglionne. Il fondo KKR sarebbe in trattative esclusive con FCA che avrebbe richiesto 6 miliardi di euro. Una richiesta follie, ad esempio Continental ag produce utili per 6 miliardi di euro l'anno e vale 30 miliardi circa. È possibile che le paure per un calo delle borse stiano spingendo la dirigenza FCA a sacrificare la quotazione.

Per una società industrial un multiplo di 6 X EBITDA non è fuori mercato e porterebbe MM alla valorizzazione richiesta dal venditore. Tuttavia, MM sconta il fatto di essere sostanzialmente monocommittente dunque una valutazione di mercato potrebbe essere fuorviante.

Se ho capito bene, Zebrone dice che il prezzo non è tanto sballato, il problema è che vende sostanzialmente solo a Fiat quindi è un business molto a rischio.
Aggiungo che Continental ha messo sul mercato una parte delle sue divisioni per raccogliere soldi freschi da investire in automazione ed elettrificazione ma, nel contempo, dichiarando che saranno business senza un futuro a lungo termine (powertrain). In sostanza sono aziende che oggi valgono qualcosa e domani potrebbero non valere più nulla.

Imho i 6 miliardi richiesti da FCA ( n.b. non conosco la situazione debitoria di MM) non corrispondono alla redditività, creazione di cash flow e forza del business.
In caso di una vendita sarebbe la prima volta che FCA realizza liquidità per se’ stessa e non per gli azionisti.

Per determinare il prezzo di una società target, generalmente, si parte da coefficienti "di mercato" da applicare ad alcuni indicatori economici della target.

L'indicatore principe è l'EBITDA (in italiano MOL, Margine Operativo Lordo) che corrisponde al reddito di un'azienda basato solo sulla sua gestione operativa, quindi senza considerare gli interessi (gestione finanziaria), le imposte (gestione fiscale), il deprezzamento di beni e gli ammortamenti. EBITDA è infatti l'acronimo di Earnings Before Interests Taxes Depreciation and Ammortization (qui i commercialisti potranno essere più accurati di me).

A seconda delle tendenze del mercato, come detto, il valore della società viene determinato in prima battuta applicando dei coefficienti che dipendono dal settore della società. Per le società industriali, generalmente, si considera il coefficiente-base 6x EBITDA.

Una volta determinato questo parametro "generale" bisogna poi tenere conto della situazione particolare della società (posizionamento del mercato, PFN, possibili rischi/liablities, ecc. ecc.) per determinare un primo prezzo.

Il fatto che una società sia monocommittente, in generale, rappresenta un rischio potenziale perché gran parte del tuo business dipende da un soggetto che oggi è la tua controllante ma domani sarà un terzo indipendente e questo potrebbe comportare una rilevante contrazione dei ricavi.

Spero sia tutto sufficientemente chiaro.

Sì, ma continental cerca di estrarre valore per usarlo in divisioni diverse. Sostanzialmente non ritiene che la parte motore abbia un futuro certo e punta tutto su elettrificazione e guida autonoma.

Nel caso di Continental come in quello di Daimler si ricerca in primo luogo di realizzare una capitalizzazione più elevata. La divisione Powertrain (la quale ha sempre guadagnato parecchio di meno rispetto alla divisione pneumatici) nel medio termine diventerà meno rilevante, quindi è meglio (secondo Continental) iniziare a venderne una parte per finanziare le altre attività.

Riguardo a MM rispetto ad altre aziende (Faurecia, Valeo, Bosch, Magna, Bosch e Continental) è piccolina, in più non ha mai avuto una redditività significativa. Ecco perché imho il prezzo richiesto da FCA mi sembra piuttosto elevato.

The Italian carmaker can now evaluate other inquiries received for the unit while it prepares to eventually separate the Milan-based company and distribute shares to investors, another viable way to extract value and simplify the group’s structure.


Fiat declined to comment, and KKR wasn’t immediately available to comment outside business hours.

At the same valuation, the Fiat unit would be worth less than 4 billion euros, the people said. Marelli is expected to report about 1 billion euros in Ebitda this year.

Volvo Cars earlier this month delayed plan for a share sale, saying the timing is “not optimal.” The backtracking from plans that were said to involve a share sale as early as this fall in Sweden and Hong Kong shows the worsening strain from trade conflict. Still, luxury carmaker Aston Martin is pushing ahead with its plan for a London initial public offering.

Marelli may achieve an enterprise value of $7.6 billion based on comparisons with peers and will likely receive high-yield credit ratings, Bloomberg Intelligence said in a note Sept. 12. The automotive supplier could provide Fiat Chrysler with more than $2 billion in dividends, according to Joel Levington, Bloomberg Intelligence senior credit analyst.

Before embarking on talks with KKR, Fiat fielded interest for the car-parts business from other potential buyers including Apollo Global Management, an unnamed Asian parts supplier and Bain Capital, people familiar with the matter said last month.

brand is preparing the launch of two models, which would be produced at the Kragujevac plant. Local news have already started to talk about the plans for this plant, which is 67% owned by FCA and 33% by the Serbian State, and employs around 2.400 people. It is not only an important source of employment but also a key exporter (8% of the country’s total exports).

The product to arrive first is going to be the hybrid version of the Fiat 500L, which is only produced in Serbia for the global markets. This model, which would be called 550L, is expected to be presented in the coming months, possibly in Geneva 2019. It would help both the brand and the model to regain traction. Fiat would finally enter the AFV market, which is growing fast. And the 500L would receive a boost as its current registrations are sinking.

The second model would have to wait more time but it seems to be a key product. The project 601 is a frugal B-SUV that would sit next to the 500X but would become the “Duster” of Fiat. This car, which was anticipated by this website in an article in October 2017, is set to increase the presence of Fiat in the popular B-SUV segment attacking from the bottom. It would arrive in 2019 and would feature everything that the 500X lacks: affordable, bigger and comfortable, just as Dacia does with the Romanian-built Duster.

These products make part of a relaunch plan of FCA’s Serbian operations, which will be presented this week. It aims to increase the production levels  of the plant, as it is currently operating at 30-40% of its capacity. During the first six months of this year, Fiat sold around 37.000 units of the 500L and 500L Living, down by 16%. The factory can build up to 186.000 units per year. So far, this plant has survived because of the very cheap workforce, which has a starting gross monthly salary of 350 euro.

However, the plant needs products and the two cars would guarantee its survival in the coming years. The plan targets an annual production of 150.000 units. After five or six years the budget SUV would be replaced by another generation and by that time the 500L would be discontinued. Ford has just done it with its Romanian plant, by replacing the B-Max with the Ecosport. It makes sense except for one thing: in the 5 year plan presented in June, Fiat was supposed to become a semi-premium brand. A Duster by Fiat would go against that plan.

Magari stavolta si svegliano e fanno una Fiat Duster identità o quasi per Brazil da produrre la e per noi da produrre in Serbia.
Se la fanno veramente nel 2019 effettivamente una versione ibrida, coi tempi che corrono, potrebbe rivitalizzare un po' un'auto ormai morta come 500L

Fiat Chrysler Automobiles is nearing the appointment of Pietro Gorlier, COO of its components business, as the new head of Europe as part of a broad reorganization that may be announced as early as this week, people familiar with the matter told Bloomberg.

Gorlier, a native of Turin, Italy, is the leading candidate to replace Alfredo Altavilla, who left the company at the end of August, after FCA's board picked Jeep head Mike Manley to succeed Sergio Marchionne, said the people, who asked not to be identified before a public announcement. A final decision hasn’t been made and other executives are still being considered, they added. Fiat declined to comment.

Gorlier, 55, oversees components makers Magneti Marelli and Mopar.

The carmaker will announce its new Europe chief as part of a management reshuffle by Manley, 54, who took the CEO reins on July 21 as Marchionne’s health worsened. The former CEO died July 25, the same day Manley told investors that the carmaker was cutting its profit target for the year.

A final decision on the new head of Europe may be made at a meeting of Fiat Chrysler’s executive council, the company’s top management body, later this week, the people said. Gorlier probably will be replaced by an internal manager at Magneti Marelli, they said. Fiat is evaluating bids for the unit after rejecting an initial offer by KKR’s Calsonic Kansei, people familiar with the matter said Sept. 16.

Gorlier was one of Marchionne’s closest aides. He joined Fiat in 1989 as a market analyst for its Iveco truck maker and moved to the parent company in 2006. When Fiat agreed to take management control of Chrysler in 2009, Gorlier was one of the few executives who moved from Turin to Detroit. In 2015 he was named head of Marelli and lead its turnaround as Fiat was preparing to spin off the unit.

The Italian manager will face a number of challenges: maintaining profit in the region that typically underperforms others at Fiat Chrysler amid price competition and lower margins; complete the transformation from mass-car production to more profitable Alfa Romeos and Maseratis, and moving from diesel to hybrid and electric cars, including at two engine plants in Italy.

Manley’s reorganization also may include some top positions in North America, the people said. Before being named CEO in July during the dramatic weekend when Marchionne’s condition worsened, Manley was head of the Jeep and RAM trucks divisions.

CFO Richard Palmer, who also was a contender for the CEO job, has increased his duties by adding merger and acquisition duties.

Pietro Gorlier dovrebbe essere nominato ceo di FCA EMEA (Europa, Africa e medio Oriente). Il torinese è uno dei manager preferiti di Marcionne ed era stato considerato per il posto di ceo del gruppo. La divisione europea non è certo quella più amata del gruppo, si deve avere a che fare con il rilancio di Alfa, margini risicati e una gamma ridotta all'osso. Bisogna vedere se e quali modifiche al piano 2019-2022 apporterà Manley.
