Fiat tumbles on concern it needs more cash to merge with Chrysler
Shares down 18% since Europe turnaround plan announced


MILAN (Bloomberg) -- Fiat S.p.A. shares have tumbled because investors fear the Italian carmaker will need to raise fresh cash to finance CEO Sergio Marchionne's plans to combine with Chrysler Group LLC.

Fiat may need to raise between 1.6 billion euros and 2.9 billion euros to finance the purchase of the remaining shares in Chrysler, Philippe Houchois, a London-based UBS analyst said today in a note.

Marchionne said last month that "everything is on the table" to raise capital.

Increasing its stake in Chrysler would help Fiat access the cash flow of the U.S. carmaker to finance a turnaround of the Turin-based company's unprofitable European operations.

Wider losses in Europe caused Fiat to cut its 2014 profit goal by 31 percent to 5.2 billion euros. Marchionne has said Fiat needs to fix its business in the region ahead of finishing a full merger with Chrysler.

Fiat shares dropped as much as 5.9 percent to 3.28 euros, making it the worst performer in Italy's benchmark FTSE MIB Index. The stock was down 5.8 percent as of 11:08 a.m. in Milan trading, valuing the company at 4.11 billion euros ($5.3 billion). The stock has lost about 18 percent since Marchionne presented a plan on Oct. 30 to boost production in Europe by expanding its lineup of upscale models.

"Fiat may have to start paying around fair value for more Chrysler shares" as the prospect of an initial public offering nears, Houchois said.

UBS downgraded Fiat today to neutral from buy on the potential for a capital increase.

At least eight analysts have cut their recommendations on Fiat, while no analyst has increased its recommendation on the shares since the European restructuring plan was announced, according to data compiled by Bloomberg.


Le azioni della fiat hanno subito un forte calo oggi a causa della sfiducia nel piano presentato da Marchionne e nei problemi che la casa sta affrontando per conquistare il resto di Chrysler. Fiat e il veba sono andate in tribunale per decidere quanto vale il 3% di Chrysler mentre a partire dal 2013 veba può richiedere di vendere in borsa il 42% di chrysler che possiede. Questa mossa renderebbe l'acquisto da parte di fiat molto oneroso. Marchionne ha aperto alla possibile cessione di assets, si parla insistentemente di ferrari.

sia ben chiaro che era ironico. minchionne non capisce un tubo di auto e i risultati si vedono. ma è un banchiere, quindi su questo aspetto sono assolutamente d'accordo con te. sa quello che sta facendo. il problema è che sta gestendo fiat come un curatore fallimentare.

Scusa l'ignoranza, ma ricordo una specie di clausola per cui il valore delle azioni Chrysler non può superare il valore di quelle Fiat. Dico male?

No non è' così'. Probabilmente fai riferimento a quella parte in cui si dice che il valore di Chrysler dipenderà dai risultati della casa e dai multipli del settore tra cui Fiat ( paradossalmente più va male Fiat auto meno costerà l' acquisto di Chrysler).

Il valore di chrysler (che non è quotata in borsa) verrà deciso dopo la valutazione di alcuni parametri. Il valore in borsa di fiat non è tra quelli ( tra l'altro è bassissimo, soli 3,5 miliardi di euro). I paramentri riguardano il valore profitti/mezzi propri, redditività, rapporto multipli delle società del settore, rapporto multipli di Fiat auto. Maglionne si è detto pronto a sborsare 3 miliardi di dollari per il 41,5%, fonti del veba fanno sapere di voler almeno 5 miliardi di dollari.

Un aumento di capitale di Fiat tra 1,6 e i 2,9 miliardi di euro per rilevare la quota di Chrysler ancora in mano a Veba, il fondo sanitario dei lavoratori del costruttore americano. L’ipotesi lanciata dagli analisti di Ubs, che hanno tagliato da buy a neutral il titolo del Lingotto e abbassato il target price da 5,7 a 3,5 euro, ha mandato al tappeto la casa di Torino a Piazza Affari, con il titolo che ha chiuso in calo del 4,99% a 3,31 euro.

Secondo la banca svizzera, scettica sulla decisione di Fiat di non chiudere stabilimenti in Europa, il Lingotto “dovrebbe lanciare un aumento di capitale” per finanziare l’incremento della sua quota in Chrysler, attualmente al 58,5 per cento. Tra la Fiat e Veba è infatti in corso una disputa legale sul valore di Chrysler. Dall’offerta di 140 milioni di dollari da parte del gruppo di Sergio Marchionne per rilevare un’ulteriore 3,3% della casa americana, per il quale la richiesta di Veba è di 342 milioni, emerge che il Lingotto valuta l’intera Chrysler 4,4 miliardi di dollari a fronte dei 10,4 miliardi impliciti nelle stime del fondo dei lavoratori Usa.

Senonchè Veba ha, per Ubs, un asso nella manica: la possibilità di chiedere la quotazione di Chrysler l’anno prossimo, avvicinando il valore che potrà pretendere da Fiat al “fair value” di Chrysler, stimato in 9 miliardi dagli analisti (3,7 miliardi di dollari per il 41,5% di Veba, pari a 2,9 miliardi di euro). In tal caso, le divergenze sulla formula con cui calcolare il valore della quota in mano al fondo sanitario verrebbero superate e Veba potrebbe pretendere da Fiat un prezzo maggiore di quello attualmente offerto dagli italiani.

Uno scenario, questo, che “potrebbe innescare trattative” e spingere le parti a un accordo transattivo. E che, secondo Ubs, dovrebbe suggerire a Fiat il lancio di un aumento di capitale tra gli 1,6 e i 2,9 miliardi di euro per finanziare l’acquisto di una quota tra il 24,9% e il 41,5% di Chrysler, così da accelerare l’integrazione tra i due gruppi ed evitare l’Ipo di Chrysler.

La quotazione, secondo Ubs, avrebbe infatti effetti negativi sulla valutazione della Fiat in borsa. “Cristallizzerebbe gli interessi delle minoranze e potrebbe complicare una fusione” oltre a creare una struttura simile a quella del gruppo Nissan-Renault, con appesantimenti legati alla “doppia quotazione” di Fiat e Chrysler e “un limitato accesso alla liquidità” del gruppo americano. Scettica Ubs anche sul piano di Marchionne di utilizzare gli impianti europei per produrre auto destinate all’export: anche “con una perfetta esecuzione del piano” e la ripresa della domanda di veicoli in Europa a quota 14 milioni, resterebbe una sovracapacità equivalente a 500mila veicoli. Per questo Ubs “ritiene che il management ridurrà ulteriormente la capacità in Europa”.

Intanto dalla provincia di Torino si apprende che dallo scorso settembre Volkswagen ha trasferito parte dell’ufficio acquisti italiano e tedesco da Verona a Moncalieri, nella sede dell’Italdesign. Lo ha reso noto Fabrizio Giugiaro, vicepresidente dell’Italdesign, a margine della presentazione di un prodotto di design realizzato per Cuki. “Abbiamo già avuto risultati straordinari – ha detto Giugiaro – sia per noi, sia per il territorio”. La decisione di attuare il trasferimento ha fatto seguito ad un incontro svoltosi a maggio all’Italdesign tra il Gruppo tedesco e i fornitori piemontesi.

Mentre sul fronte Fiat per domani è prevista la prima assemblea sindacale in fabbrica, per i 2146 lavoratori della newco di Pomigliano d’Arco, che incontreranno i segretari territoriali di Fim, Uilm, Fismic e Ugl. Intanto si avvicina la data entro la quale Fabbrica Italia Pomigliano dovrà assumere i primi 19 operai iscritti alla Fiom, per ottemperare all’ordinanza della Corte d’Appello di Roma, che ha rigettato il ricorso di Fiat, ed accolto le motivazioni del sindacato sulla discriminazione nelle assunzioni nella newco. Entro il 28 novembre, infatti, i 19 ricorrenti della Fiom, che saranno i primi dei 145 lavoratori del sindacato a dover entrare in Fabbrica Italia Pomigliano, così come disposto dal Tribunale di Roma lo scorso giugno (e confermato dalla Corte d’Appello), dovranno firmare il contratto con la newco, dimettendosi dalla Fiat group automobiles.

Nessuno, però, tra i 19 lavoratori, è stato ancora contattato dall’azienda per il corso di formazione che gli consentirà di cominciare la produzione nei reparti, nè per firmare il contratto, che consentirà loro di rientrare in fabbrica il 10 dicembre prossimo. Dal 26 novembre, infatti, i lavoratori della newco saranno fermi per due settimane di cassa integrazione disposte dall’azienda per la crisi di mercato.

Nuova cassa integrazione, infine, a Melfi. La produzione dell’impianto, infatti, verrà fermata per più di 20 giorni tra dicembre e gennaio. Sono 5.000 i lavoratori che andranno in cig e attualmente impegnati nella produzione della Punto. Lo stop è previsto il 17 dicembre e poi dal 21 dicembre al 13 gennaio. La decisione è stata presa “considerata la debolezza del mercato europeo dell’auto”.

E' un normale rimbalzo tecnico, fait è tra i peggiori performers del settore auto (psa fa peggio), attualmente vale 4,2 miliardi di euro. Se pensi che Ferrari vale 5 miliardi di euro secondo marchionne e la quota in chrysler è stimata sui 5 milardi di dollari la fiat spa è pesantemente sottovalutata. Naturalmente il valore in borsa non rispecchia quasi mai il valore intrinseco di un'azienda.

Più soldi per Chrysler e un futuro incerto

Troppe nubi sul piano industriale del gruppo di Torino: dalla revisione delle stime di crescita per il prossimo biennio ai problemi con il fondo dei lavoratori della Chrysler per la fusione nell'Auto. Gli Agnelli valutano la controllata Usa 4,4 miliardi di dollari, per i isindacati vale almeno 10,4 miliardi. Tra le ipotesi, un aumento di capitale. In un mese arriva un'ondata di tagli di rating. Il titolo ai minimi dal 2009.
MILANO - Non l'aveva mai fatto. Ma quando l'ultima volta, alla fine di ottobre, si è presentato davanti alla platea degli investitori, Sergio Marchionne ha dovuto rivedere le stime del gruppo al ribasso, dicendo che non sarebbe riuscito a mantenere quanto aveva promesso. Voleva vendere nel 2013 ben 5,5 milioni di auto, e non arriverà forse a 4,5 milioni, mentre nel 2014 dai 6 milioni promessi si passerà al massimo a 4,8 milioni. Il traguardo dei 100 miliardi di fatturato non si sfonderà nemmeno tra due anni e l’utile operativo è stato tagliato del 34 e del 37%.

Da quel giorno (il titolo valeva poco meno di 4 euro) è ricominciato il crollo delle quotazioni fino a toccare i minimi dell’anno (3,29 euro) sulla scia di una serie di tagli di giudizi da parte degli analisti, l’ultimo dei quali è arrivato a opera di Ubs (segui il titolo in diretta). Secondo la casa svizzera, Marchionne dovrà tagliare ancora la capacità produttiva del gruppo (leggi “chiudere stabilimenti”) e rendere più chiara la sua strategia su Chrysler. La recente disputa con il fondo Veba (il fondo sanitario dei lavoratori Chrysler) sul prezzo della controllata americana lascia intendere che se Marchionne e gli Agnelli vorranno portare avanti la fusione con Fiat, dovranno mettere mano al portafoglio, forse anche lanciando un aumento di capitale in Fiat. E la strada


per arrivare all’unione dei due gruppi non sarà tanto facile quanto quella per la fusione tra Cnh e Fiat Industrial, dove grazie alla maggioranza assoluta, e con buona pace del consiglio degli indipendenti di Cnh, gli Agnelli possono fare il bello e il cattivo tempo.

Su Chrysler la questione è più complicata. Il fondo dei lavoratori valuta Chrysler 10 miliardi, mentre per Marchionne non vale più di 4,4 miliardi. Per Ubs, la controllata Usa costa circa 9 miliardi di dollari. Fiat può acquistare fino al 3,3% di Chrysler da Veba ogni sei mesi tra il 1 luglio 2012 e il 30 giugno 2016, fino a una quota del 16,6%, e Marchionne ha detto di voler comprare. Nel mese di luglio, Fiat ha annunciato che avrebbe esercitato la prima opzione per aumentare la sua quota del 3,3% in Chrysler, portando la propria partecipazione in Chrysler al 61,8% dal 58,5%. Veba ha chiesto 342 milioni di euro, Marchionne ne ha offerti non più di 139 milioni. A decidere il prezzo sarà un Tribunale del Delaware.

Per ovviare ai prezzi stabiliti dai giudici nei prossim acquisti, Marchionne potrebbe anche optare per la quotazione di Chrysler e sottoporre la società al giudizio del mercato. Un’operazione di questo tipo, però, allungherebbe i tempi della fusione e getterebbe ulteriori ombre sul futuro del gruppo i cui piani di crescita sono già stati notevolmente ridimensionati. Il malcontento degli analisti svizzeri che hanno tagliato il giudizio da buy (comprare) a neutral (neutrale) e il prezzo obiettivo da 5,7 euro a 3,5 euro, non è arrivato da solo.

Novembre è stato un mese nero. Il 5 novembre Goldman Sachs ha abbassato la raccomandazione da buy a neutral con un target price sceso a 4,7 euro da 7,7 euro. Marchionne non è riuscito a convincere gli analisti della casa Usa sul nuovo piano di sviluppo. Tagliate le stime di crescita per il 2013-2014, il numero uno del Lingotto si è inventato di portare Fiat nella fascia medio alta del mercato. Il problema è che per raggiungere questo risultato Fiat dovrebbe investire altri 3 miliardi rispetto a quanto preventivato col vecchio piano, in una situazione in cui le perdite in Europa bruciano le risorse del gruppo. Per Goldman Sachs è impossibile.

Il 7 novembre è arrivata la bocciatura di Deutsche Bank (da hold, “tenere”, a sell, “vendere”), mentre il 12 novembre quella di Barclays, che ha confermato il giudizio underweight (sottopesare) sul titolo tagliando il prezzo obiettivo da 3,9 euro a 2,3. I motivi sono gli stessi per tutti. Secondo gli analisti della banca d’affari inglese il gruppo sta bruciando cassa più velocemente di Peugeot, ha un tasso di utilizzazione degli impianti fra i minori in Europa e ha in previsione il lancio di pochi nuovi modelli. Per di più non è chiaro come Fiat finanzierà il nuovo piano industriale.

NEW YORK (Reuters) -- Fiat S.p.A. fully intends to acquire the 41.5 percent of Chrysler Group shares that it does not now own, but wrangling over the price could continue for a while, Fiat-Chrysler CEO Sergio Marchionne said today.

Fiat is in arbitration proceedings with the owner of the shares, a UAW retiree trust fund (known as the VEBA) that pays medical benefits to retired workers. The trust fund acquired the shares during the U.S. government-sponsored bankruptcy and bailout of Chrysler in 2009, when Fiat gained an ownership stake and management control of the U.S. automaker.

"We've always taken the position that we would have to pay them, but the question is price," said Marchionne, speaking on the sidelines of a meeting of the Council for the United States and Italy, an international-relations group. The current arbitration proceedings, he added, are "part of the dance."

Fiat also has the option of selling its components unit Magneti Marelli to get additional cash for purchasing more of Chrysler, Marchionne said.

At a brief, impromptu news conference, Marchionne said Fiat has no need to tap the debt or equity markets to raise cash to purchase remaining Chrysler shares.

While Fiat has ample cash on hand, he added, it could raise additional money if needed by selling assets, citing Magneti Marelli, which had revenue of 5.8 billion euros ($7.6 billion) last year, as an operation that could be sold.

In the current weak economic environment, Marchionne said, "the availability of cash is crucial. It's better to be safe than sorry."

Magneti Marelli employs about 35,000 people worldwide. The unit designs and produces automotive components including lighting, electronics, suspension and exhaust.

Fiat vs. VEBA

If, as industry experts predict, the two sides cannot agree on a price by year-end, the trust fund can begin the process that would lead to an initial public offering of its shares, potentially depriving Fiat of its goal of gaining full ownership of Chrysler.

However, the IPO process would take months to meet regulatory and other requirements, and a settlement could be reached during that time.

UBS estimates the fair value of Chrysler at between $9 billion and $13.4 billion, meaning the trust fund's 41.5 percent stake is worth between $4.1 billion and $5.5 billion.

Fiat and the health care trust are battling in a Delaware court over a 3.32 percent piece of Chrysler. Fiat is able to purchase up to 16.4 percent of Chrysler in this piecemeal fashion over the next three-and-a-half years. Chrysler has offered about half of what the health care trust believes the 3.32 percent stake is worth.

When Chrysler exited its 2009 bankruptcy, Fiat took a 20-percent ownership and has increased that since to the current 58.5 percent of the No. 3 U.S. automaker.

The system for Fiat to buy batches of Chrysler for a total of 16.4 percent of the U.S. automaker was also part of that bankruptcy agreement. Fiat says it has used a formula for setting its price for the first batch of those shares, and the trust wants more than double that figure. The full 16.4 percent of Chrysler to be purchased in this manner would total, Fiat says, $754 million, while the trust wants $1.7 billion.

No banking talks

Fiat earlier rebutted a report that it was set to raise money to finance its purchase of a further stake in Chrysler, saying it had no need for extra funds.

Its comment came after an unsourced report out of Italy said Fiat was sounding out UniCredit, Morgan Stanley, Bank of America and Goldman Sachs about the possibility of raising between 1 and 2 billion euros ($1.3-$2.6 billion).

Earlier this week, Fiat asked the Delaware court to make a ruling on a series of legal briefs instead of holding a trial, according to a court document seen by Reuters.

The UAW's VEBA must reply to Fiat's arguments by Jan. 25, and Fiat will file its reply on Feb. 28.

A judge is therefore unlikely to make a ruling on whether the case will go to trial until he has heard all the legal arguments from both sides, which won't be until March at the earliest.

Fiat would be unlikely to move forward with raising cash to buy the remaining 41.5 percent stake before a judge rules on the price it must pay for the 16.4 percent.

"As long as the pricing of the Chrysler option has not been confirmed it will likely take until late 2013 before the courts reach a decision on the VEBA trust action," Credit Suisse said in a note to clients today. "The bottom line is that no acquisition will be possible until then," it said.

Prima o poi i nodi vengono al pettine...
Le previsioni di vendita fantasmagoriche anche stavolta sono state smentite dai dati reali (con Alfa dal 2004 ad oggi è sempre puntualmente accaduta la stessa cosa).
Stavolta (o meglio, adesso) emerge anche il problema finanziario e di liquidità.
Sento puzza di bruciato solo io? :roll:

Sono ipotesi di cui Marchionne ha parlato con la stampa. Secondo il ceo di Fiat il valore di Ferrari era pari a 5 miliardi di euro, il mercato azionario valuta tutta la Fiat ( Fiat SPA+58% di Chrysler e Ferrari) 4,2 miliardi. Si vedrà nei prossimi mesi.

La Fiat ha esercitato l'opzione per acquisire un ulteriore 3,32% della proprietà Chrysler, rilevando la quota dal fondo pensionistico Veba. L'operazione, dal costo di 198 milioni di dollari, porterà il Lingotto al 65,17% della Casa americana. Secondo gli accordi, la Fiat ha il diritto di rilevare con cadenza semestrale una quota del 3,32% dal fondo dei dipendenti, fino a una quota massima del 16,6%.

In ballo c'è ancora la tranche di luglio. Lo scorso 3 luglio la Fiat aveva esercitato per la prima volta questa stessa opzione arrivando al 61,8% della Chrysler, ma sul prezzo della quota non era stato raggiunto l'accordo con la Veba, circostanza che ha reso necessaria una soluzione per vie legali, voluta dalla Casa torinese. La decisione del Tribunale del Delaware, come specificato dalla Fiat, è attesa nei prossimi mesi.

(Bloomberg) -- Fiat S.p.A. is discussing financing options with banks to strengthen its balance sheet in preparation to buy the Chrysler Group LLC stake it doesn't own, three people familiar with the matter told Bloomberg.

Sergio Marchionne, CEO of both automakers, has held talks with banks to help pay for at least some of the 41.5 percent held by the UAW medical benefits trust for Chrysler retirees, said the people, who asked not to be identified because the talks are private. A final deal may take months because Fiat and the trust disagree over the value of the shares, they said.

Marchionne is evaluating options that include a bridge loan to complete the deal, two of the people said. The Italian carmaker may pay around 2.23 billion euros ($2.98 billion) to buy the remaining stake, according to an estimate from Goldman Sachs Group Inc., which sees a deal possible within 12 months.

Marchionne is relying on Chrysler to sustain earnings as he works to end losses at Fiat's mass-market brands in Europe by 2015 at the earliest. The Italian carmaker, which would have posted a 1.04 billion-euro loss in 2012 without Chrysler, has been looking to buy the remaining stake to get access to the American automaker's cash and push integration of the two.

"We believe the deal remains inevitable," said Max Warburton, an analyst at Bernstein Research. "The move will allow Fiat and Chrysler to pool cash in due course and ensure that Chrysler's cash generation can support Fiat."

Stronger balance sheet

Banks are pitching Fiat on raising capital to strengthen its balance sheet, keep debt under control and sustain cash as it buys the rest of Chrysler, two of the people said. Fiat may need to boost capital by 1.5 billion euros, one of the people said. The Italian carmaker doesn't plan to sell a stake in Ferrari to finance the deal, one person said.

Fiat representatives declined to comment on possible financing talks.

Marchionne said Feb. 3 that a share sale would make sense only for "strategic moves" as the Agnelli family, which controls Fiat through Exor S.p.A., has already invested enough in the company. Fiat denied in December that it was planning to issue new shares to raise money to boost its Chrysler holding. Fiat also ruled out such a move last week.

Cash reserves

Fiat, excluding Chrysler, "has adequate liquidity levels to deal with operating needs, investment plans and any uncertainty in markets" and doesn't need to monetize assets, the automaker said in a slide presentation for an investor meeting Feb. 7 posted on its website.

Fiat is also weighing whether to pay for part of the stake with its own shares, one of the people said.

Fiat, excluding Chrysler, had 9.1 billion euros of cash and 1.95 billion euros of undrawn credit lines at the end of 2012, with net debt from industrial activities of 5.05 billion euros. Chrysler had 8.8 billion euros of cash and 985 million euros of undrawn credit lines, with net debt of 1.5 billion euros at the end of last year, Fiat said Jan. 30.

"Fiat has to sell assets or has to sell shares," Harald Hendrikse, an analyst at Citigroup in London, wrote in a note to investors yesterday.

The Italian carmaker has announced plans to exercise options to raise its Chrysler holding to 65 percent from the current 58.5 percent. Fiat has yet to receive those shares from the trust because the two are disputing the automaker's valuation amid the trust's efforts to sell part of its stake in an initial public offering.

A U.S. court decision on the price may come by the end of the first quarter, Marchionne has said. Fiat plans to continue using options it has to boost the holding by 3.3 percent every six months up to 75.1 percent, the CEO has said.

Completing merger

Marchionne, who targets increasing 2013 profit to as much as 4.5 billion euros from 3.81 billion euros last year, said this month he's confident of completing a merger with Chrysler and solving the issue with the trust by the end of 2014.

Fiat may seek to buy the remaining holding before an IPO because the Italian company has no interest in "diluting" control, Marchionne said last month, adding that an IPO may be ready by the fourth quarter.

An IPO process may help in setting the price for the stake, Warburton said. Fiat will have to pay from 1.36 billion euros to 3.3 billion euros for the holding, he estimated.

Sergio Marchionne, the chief executive officer seeking to combine Chrysler Group LLC with Fiat SpA, predicted that the U.S. automaker's future ownership structure won't be clear until the third quarter.

Fiat is discussing financing options with banks in preparation to buy the 41.5 percent of Chrysler it doesn't own, people familiar with the matter said this month. Marchionne, 60, said Thursday his preference has been for Chrysler to avoid an initial public offering.

"I don't see any clarity on this until the third quarter of this year," Marchionne told reporters Thursday after disclosing $374 million of investments in Chrysler transmission plants in central Indiana. The executive's "best estimate" is that Fiat has a 50-50 chance of avoiding a Chrysler IPO and creating "one organization," he said.

Marchionne is relying on Auburn Hills-based Chrysler to sustain earnings as he works to end losses at Fiat's mass-market brands in Europe by as soon as 2015. The Italian carmaker would have posted a 1.04 billion-euro ($1.36 billion) loss in 2012 without Chrysler. Fiat also is confronting political instability in its home country that could raise borrowing costs, Marchionne said today.

The United Auto Workers union's voluntary employees beneficiary association, a medical benefits trust for Chrysler retirees, owns the remaining Chrysler stake not held by Turin, Italy-based Fiat.

Fiat, Chrysler and the trust known as VEBA are entering a "multi-month undertaking" involving talks with banks about the best option for the parties involved, Marchionne said. Chrysler also would need to go through the process of changing to a corporation from limited liability company if the VEBA elects to proceed with an IPO, he said.

Fiat is Italy's largest manufacturer and may be among the companies hardest hit by the political turmoil in the country after a general election this week resulted in a hung parliament. Fiat's sales in Italy accounted for more than half of the company's European deliveries in January.

The carmaker may pay higher interest rates because instability has raised Italy's borrowing costs, Marchionne said.

The borrowing costs of most Italian companies "effectively follow the same yield curve that the government bonds follow," he said. "To the extent that there's a spike in national borrowing costs, it will negatively impact on Fiat. That's something that we obviously find incredibly unpleasant."

Fiat has enough cash resources, so Italy's issues are "not an immediate problem," Marchionne said.

"A relatively short-order resolution of the Italian political leadership issue is crucial," he said. "Over the medium term, if it continued, it would have a negative impact on Fiat, but not in the next 12 months."

Fiat close to securing financing for Chrysler buyout, report says

FRANKFURT (Reuters) -- Fiat could secure financing by May for a possible buyout of the rest of Chrysler, two people familiar with the matter told Reuters today.

The Italian automaker is in advanced talks with banks, which are expected to conclude next month, on financing to buy the 41.5 percent of Chrysler which is held by VEBA, the UAW's retiree healthcare trust, the sources said.

Fiat is looking to raise roughly 3 billion euros ($4 billion) in new financing, said one of the sources, and is hoping to strike a deal with VEBA by early July.

Sergio Marchionne, the CEO of both Fiat and Chrysler, wants to merge the two carmakers to create the world's seventh-largest auto group, tapping Chrysler's cash flow to offset Fiat's losses in Europe and building economies of scale.

A hearing in a U.S. court on Thursday could shed light on Chrysler's price tag, which is the subject of a legal battle between Fiat and VEBA.

Earlier this month Marchionnne said the automaker may need to raise capital in the medium- to long-term after the Chrysler buy, adding Fiat had enough cash to avoid a capital increase for the purchase itself.

But later the same day he told a group of reporters Fiat may need to raise as much as 2.5-3 billion euros ($3.3-$3.9 bln) in connection with the buyout, without elaborating. Fiat declined to comment.

Although Fiat has cash reserves of about 9 billion euros ($11.91 billion) as of December 31, in practice it would need financing to merge with Chrysler to maintain the new group's credit rating.

VEBA's total 41.5 percent stake in Chrysler is worth an estimated $3.5-$4 billion, according to analysts.

Dual track deal

In January VEBA said it would exercise its right to sell part of its Chrysler stake in an initial public share offer (IPO), and Chrysler asked banks to submit pitches for the offering in April.

Bankers have been asked to prepare a "dual-track" sale leading either to the offering of Chrysler shares owned by VEBA, or an agreed buyout of VEBA's stake by Fiat, people familiar with the matter have said.

Marchionne has made no secret of his desire to merge the two automakers and avoid an IPO, but has said he would be open to a market listing if Fiat and VEBA could not reach a deal.

"The goal clearly is to resolve the matter this year," one of the sources today said, adding that IPO preparations were already underway.

Court hearing

The U.S. court hearing this week could shed light on how far apart the two sides are from an agreement on price, and possibly provide the catalyst to start buyout talks and avoid an IPO, the sources said.

At issue in the court dispute is the price Fiat should pay for a part of VEBA's Chrysler stake which is subject to a call option, with the two sides at odds over how to interpret a 2009 deal giving Fiat the right to buy 16.6 percent of Chrysler from VEBA in five stages.

While no final ruling is expected on Thursday or in the coming months, comments from the judge may help bridge the gap between the two positions and accelerate out-of-court talks on a broader buyout deal, said one of the people familiar with the matter.

The person added: "The April 25 hearing will likely give indication if there is a room for a possible agreement."
