Fiat Chrysler Automobiles and PSA Group of France are in talks to combine, The Wall Street Journal and other media reported.

The newspaper, citing people familiar with the matter, said a deal between FCA and the Peugeot parent could create a "$50 billion trans-Atlantic auto giant."

An all-share merger of equals, the paper reported, is one of the possibilities under consideration. PSA CEO Carlos Tavares would lead the combined unit as CEO while FCA Chairman John Elkann would assume the same role at the new company, the paper reported.

Under one recent proposal, Peugeot owner PSA would be the acquiring entity and the French side would have an advantage in terms of board seats, Bloomberg reported, citing a source familiar with the matter.

A merger of the Italian-American automaker and PSA, Europe’s second-largest car manufacturer, would create a global company with a current stock-market value of $47 billion -- about the same size as Japan’s Honda Motor Co.

PSA’s board is holding an extraordinary meeting Wednesday afternoon French time, Bloomberg reported, citing two sources.

The Journal reported that "talks are fluid" and that "other options or terms could be considered." The paper said "there is no guarantee that any final agreement will be reached."

"We do not comment on market rumors," a PSA spokesman said.

Consolidation signals

Investors have speculated for several years that Fiat Chrysler was hunting for a merger partner, encouraged by the rhetoric of the company's late CEO, Sergio Marchionne. In 2015, Marchionne outlined the case for consolidation of the auto industry, and tried unsuccessfully to interest General Motors in a deal.

The two automakers discussed a combination earlier this year before Fiat Chrysler proposed a $35 billion merger with French automaker Renault SA.

Evercore analyst Arndt Ellinghorst, in a note on Tuesday, said a combination of Fiat Chrysler and Peugeot "should ignite more rational industry behavior around allocation of capital and this particular merger makes materially more sense than a potential FCA-Renault merger."

A combination of FCA and PSA, “from a volume perspective, would make sense,” Richard Hilgert, senior equity analyst at Morningstar Inc., wrote earlier this year. Together, they would make almost 9 million vehicles a year, giving them the heft to better compete against Volkswagen Group, Toyota Motor Corp. and the Renault-Nissan Alliance, he said.

More scale would be particularly crucial in small-vehicle segments that dominate many markets in Europe and South America.

And for PSA’s Peugeot, planning a return to North America in 2023, FCA’s U.S. retail network “would give them an opportunity to pitch to an established set of dealers,” Hilgert said.

Previous approach

PSA Group approached Fiat Chrysler Automobiles this year about combining the two companies, but the Italian-American automaker rebuffed the overture, the Journal reported in March.

FCA executives didn't like the idea because it would increase exposure to Europe's mature market, while the Agnelli family, with a controlling stake, isn't interested in a transaction financed with PSA stock, the newspaper reported.

The latest talks come after FCA’s failed effort to combine with Renault in May. FCA withdrew its offer in June.

FCA said in a statement at the time that it became clear “that the political conditions in France do not currently exist for such a combination to proceed successfully."

In a May letter to dealers in the U.S. and Canada, Reid Bigland, head of U.S. sales, described the proposal to Renault as a "bold step that will dramatically change both companies and the automotive industry." He said the new company would tally worldwide sales of nearly 9 million vehicles annually with a "broader and more balanced global presence than either company on a standalone basis."

The combined entity, Bigland wrote, would be a world leader in electric vehicle technologies along with premium brands, SUVs, pickups and light commercial vehicles.

Manley made clear during a July earnings call with investors that FCA is still open to opportunities.

Although the Renault deal didn't happen, Manley sang the praises of the shelved tie-up during a July earnings call with investors, saying it "clearly added very, very significant synergies." But he made clear that FCA has "a relatively robust business plan that survives with or without that type of merger."

Tavares highlighted risks to the proposal, in a memo sent to top officials of the Peugeot owner in May, according to Bloomberg. Tavares said in the memo that Renault was chosen mainly because its value was depressed by the troubled alliance with Nissan Motor Co. following the Carlos Ghosn scandal. Ghosn, the longtime head of the Renault-Nissan alliance, was terminated following a financial scandal that enveloped him in Japan last year. He has proclaimed his innocence while awaiting trial.

“The transaction proposed by Fiat Chrysler therefore seems particularly opportunistic, largely to its benefit,” the note said. “For Renault, this may be an asset in discussions with Nissan, but it could also weaken the alliance or even lead to an unwinding.”

The timing of the merger talks, meanwhile, could influence FCA's ongoing labor contract negotiations with the UAW in the U.S. The union just ratified a new contract with GM and is now in active negotiations with Ford Motor Co., meaning FCA will be the last of the Detroit 3 automakers to reach terms with the UAW. It was not immediately clear if the UAW was made aware of the merger talks and there was no immediate comment from a UAW spokesman about the matter.

Another Tavares deal?

Under Tavares, a former No. 2 to Carlos Ghosn at Renault Group, PSA has gone from near-bankruptcy in 2013 to profit margins that rival -- and even surpass -- some luxury automakers. His signature deal came in 2017 when the French automaker acquired GM's unprofitable European brands Opel and Vauxhall for $2.3 billion. Tavares vowed to restore Opel profits by 2020 but the milestone was reached in 2018.

PSA Group generated a record operating margin of 8.7 percent in the first half of 2019, even as automakers such as Daimler announced profit warnings. Tavares has pushed relentlessly for cost savings and efficiencies, through simplifying the model lineup, sharing vehicle platforms and strategically targeting r&d spending.

PSA's main weakness in recent years has been the Chinese market, where two joint ventures have been bleeding sales and red ink, with a loss of 302 million euros in the first half of 2019. Tavares has vowed to remain in China, although PSA has reportedly been exploring the sale of some of its joint venture factories.

The French connection

The French government -- a clear impediment to the failed Renault-FCA deal -- holds a 12.23 percent share in PSA Group through its sovereign wealth fund Bpifrance, but it exercises much less control over PSA than it does at Renault.

The government paid 800 million euros ($889 million) in 2014 to help bail out then-struggling PSA, which received an equal amount of financing from the Chinese automaker Dongfeng Motor Group. Those two investments reduced the holdings of the Peugeot family and made it an equal shareholder with Dongfeng and the French state. At a market capitalization of 23.55 billion euros ($26.2 billion), the French government share would now be worth around 2.9 billion euros ($3.2 billion).

Along with Dongfeng and the Peugeot family, the government can appoint two members to PSA's 14-member board of supervisors. But it holds just under 10 percent of exercisable voting rights, compared with 19.5 percent each for the Dongfeng and the Peugeot family.

Ci sono vari scenari, uno di questi prevederebbe che i francesi diventino i capi de facto. Imho ha molto più senso per FCA un’alleanza con PSA che con Renault-Nissan. Psa otterrebbe l’agognato ingresso al lucrativo mercato americano mentre FCA avrebbe accesso alle piattaforme francesi necessarie anche per i crossover. Vediamo se ci sarà un accordo e come sarà strutturato.

Fiat Chrysler Automobiles and PSA Group said they are in talks about a possible combination, in a potential deal that would reshape the global auto industry and create a European powerhouse to rival Volkswagen Group.

"There are ongoing discussions aimed at creating one of the world's leading mobility groups," FCA said in a statement Wednesday, confirming media reports. PSA issued a similar statement.

A merger of the Italian-American automaker and PSA, the No. 2 for car sales in Europe, would create a global company with a current stock-market value of $47 billion — about the same size as Japan’s Honda Motor.

The talks come several months after Fiat Chrysler and PSA, led by CEO Carlos Tavares, explored a partnership on pooling investment to build cars in Europe, and following the collapse of negotiations between Fiat Chrysler and French competitor Renault in June.

The French government would play a key role in any deal because France is one of the biggest owners of PSA, whose brands include Peugeot, Opel and Citroen.

Analysts greeted word of a possible deal warmly.

"In our view the combination of FCA and PSA has more logic than the previously attempted FCA-RNO deal and has a far greater chance of success," Max Warburton, a Bernstein analyst, wrote in a note to clients.

Automakers face tremendous pressure to combine forces and share costs from platform development to manufacturing and purchasing as they battle through trade wars, a global slowdown and an expensive shift toward electrification and autonomous driving.

Volkswagen in July said it will work with Ford Motor on electric and self-driving car technology, while Toyota is strengthening ties with partners such as Subaru and BYD Co.

In Europe, PSA and Fiat Chrysler face the additional burden of new emissions regulations that will force the industry to meet stringent fleet requirements next year.

Overlapping business

"If completed, we believe this should ignite more rational industry behavior around allocation of capital, and this particular merger makes materially more sense than a potential FCA-Renault merger,” said Arndt Ellinghorst, an Evercore analyst.

He said it's an opportunity to achieve "gross synergies" above 7 billion euros ($7.8 billion) by 2023 due to overlapping businesses in Europe, Latin America and China.

The companies’ Chinese businesses have been trailing competition and it’s unlikely that a merger would quickly reignite their revenue growth in the world’s biggest car market. China’s Dongfeng Motor, which holds about 12 percent of PSA, could also have a say on the deal.

PSA has been floated as a logical merger partner with Fiat, because of their complementary product and geographic fit, and the two sides talked about a possible partnership earlier this year. However, the Italian-American carmaker instead pursued a deal with Renault. Those talks were called off in June amid opposition from the French government and a lack of support from Renault’s Japanese alliance partner Nissan.
 
U.S. volume

Fiat Chrysler’s leaned-out figure offers North America volume and profit in the form of the Jeep and Ram brands, while PSA would bring Europe profitability to the marriage.

Fiat Chairman John Elkann had walked away from the potential deal with Renault blaming "political conditions in France."

Fiat Chrysler signaled at the time that the French state would have to give up its sway over Renault for a resumption of talks, people with knowledge of the situation said at the time.

Tavares said earlier this year that PSA would be returning to the U.S., which the brand exited in 1991. Tavares said the brand will begin shipping vehicles to North America from Europe and China in 2026.

Fiat Chrysler is seen as a laggard in new technologies such as electrification and autonomy, which are expected to cost automakers billions of dollars over the next decade.

The company has sought to secure its future with a larger partner for several years, dating back to late CEO Sergio Marchionne’s failed courtship of General Motors Co. After being rebuffed by GM in 2015, rumors of talks with other automakers have swirled with varying intensity

Le 2 aziende hanno confermato le trattative. Pensare che Tavares la scorsa primavera si era pronunciato pubblicamente contro l'alleanza FCA-RNM.

Io avrei visto meglio Renault invece, molto più "globale" come gruppo.
PSA non capisco perché si ostini a voler entrare nel mercato americano, dato che chiunque ci abbia provato negli ultimi tempi ha messo insieme solo mezzi disastri (anche Vw stenta, pur con la potenza di fuoco che ha).
E poi non ha prodotti adatti: forse forse la 508 e la 5008.

Entrambi i marchi, inoltre, mi pare siano piuttosto deboli in Cina.

FCA si gioverebbe delle piattaforme per le piccole-medie. Certo è che, in questo modo, in un futuro nemmeno troppo lontano, mi immagino una C3/208/Corsa/Punto tutte sulla stessa piattaforma, con gli stessi motori.
La Vw lo fa da anni con l'Mqb, e alla fine tra segmento B non è che ci sia bisogno di differenziare granché, però...

Medio piccole anche dal punto di vista dei suv. E' anche molto avanti sul discorso elettrico. Alla fine avrebbero una gamma completissima nei segmenti A-B-C e presidierebbero pure il D, per i suv medio grossi c'è Jeep, come marchio sportivo avrebbero Alfa.

Dopo hyundai che purtroppo non si è mai interessata a fca... quello con psa sarebbe il miglior accordo possibile.

Renault non è globale, lo è RNM che però non è un gruppo unico come lo sono Vw e Toyota. Sulla carta l’alleanza FCA-RNM aveva molto senso ma data la tensione tra i francesi e i giapponesi era non fattibile.
Tavares ha compiuto il miracolo di risanare prima PSA e poi Opel però i margini di miglioramento non erano più così grandi, i rovesci in Cina lo hanno dimostrato (-70% dal 2015 ad oggi).

Vw ha fallito completamente negli USA ma è tutta colpa sua, sono degli incapaci. Se prima sono arrivate Toyota, Honda, Nissan poi Mercedes e bmw poi ancora Hyundai-Kia e tutte realizzano bei guadagni significa che la colpa è di Wolfsburg.

In Cina anche FCA ha fallito pesantemente, persino Jeep sta collassando dopo un discreto inizio.

In Europa PSAFCA si avvicinerebbe moltissimo a Vw come quote di mercato però già adesso Vw realizza 5 miliardi di euro di utile netto ogni trimestre.

L'uffcialità giovedì.. hanno posticipato.
Ne penso molto bene per entrambi, in particolar modo per Fiat.
Finalmente Fca potrà contare su due piattaforme modulari moderne (CMP per le piccole e Emp2 per medie e suv) oltre a trovarsi pronto e testato il comparto elettrico lanciato da 208 e Corsa.
Sul fronte fabbriche/dipendenti, ecc ancora non ho strumenti di giudizio ma da una prima lettura l'accordo è positivo.

La prima volta che incontrerò tavares gli ricorderò della mia domanda a Francoforte su Fca e della sua risposta (abbiamo già altro da fare) :sdentato

In Europa PSAFCA si avvicinerebbe moltissimo a Vw come quote di mercato però già adesso Vw realizza 5 miliardi di euro di utile netto ogni trimestre.


Diventerebbe il quarto gruppo al mondo, superando il tetto degli 8 milioni di veicoli fissato da Marchionne.

In Usa ci entri per vendere veicoli commerciali, pick-up (e ora li potranno fare su base ram..)
La differenziazione è un non problema. Finalmente potranno spalmare costi su tutti i modelli, dalle super compatte ai suv.

Se FCA porge le chiavi del mercato americano a PSA i francesi salvano Fiat in Europa, altrimenti sarebbe lentamente morta.

Sulle fabbriche aspetterei prima di suonare a morto.

Per il resto è come hai detto.. e per l'ennesima volta il lavoro di marchionne si conferma ottimo. Non è riuscito a vederlo da vivo ma se l'operazione andrà in porto ha compiuto il miracolo

Un pickup su base RAM di marca francese? Oppure gli rimarchiano il Traveller e ci infilano un V6 come ha fatto Fiat col Ducato?
