FRANKFURT -- Opel will build a new model for PSA Group's upscale DS brand at its home factory of Ruesselsheim near Frankfurt.

Production of the model will start in summer 2021, Opel said in a news release on Tuesday. Opel did not specify which model will be built for DS.

The DS model will bring to three the number of vehicles built at the factory. Currently the Insignia midsize car is built there.

The next generation of the Opel Astra will also built at the factory starting at the end of next year.

The DS model and the new Astra will both be based on PSA's EMP2 compact/midsize vehicle platform. The platform is used for PSA brand s' vehicles including the Peugeot 308 and Opel Grandland X.

Production at Ruesselsheim is currently halted due to the coronavirus pandemic. An Opel spokesman said output would restart in the near term, declining to specify further.

PSA's manufacturing chief Yann Vincent said in the release that the Ruesselsheim plant has improved its competitiveness, with a focus on performance and quality.

In September, PSA CEO Carlos Tavares told German journalists that the plant would have to improve if it wanted to get a third model. Tavares said PSA's factories in France were able to operate at benchmark profitability.

"Sochaux is the most efficient plant in France," Tavares during a media round table at the Frankfurt auto show on Sept. 11. "Currently between Sochaux and Ruesselsheim the gap in manufacturing costs is not less than 60 percent, perhaps more. It's enormous."

PSA began switching Opel's lineup to its own platforms after it bought the German automaker from General Motors in 2017.

PSA Group  CEO Carlos Tavares said he was confident the merger of the automaker and Fiat Chrysler Automobiles would go ahead as planned and yield synergies of at least 3.7 billion euros ($4.2 billion).

"The timetable of the merger with FCA is being strictly respected," Tavares told PSA's annual shareholders meeting on Thursday.

He added he was confident the deal would be finalized during the first quarter of 2021 "at the latest."

Commenting on expected synergies from the deal, he said 3.7 billion euros was a "floor."

Last week, European Union antitrust regulators opened a four-month investigation into the proposed $50 billion merger, saying it may harm competition in small vans in 14 EU countries and Britain.

The two carmakers had declined to offer concessions to allay the EU competition enforcer's concerns during its preliminary review of the deal.

The deal has already received the green light in the United States, China, Japan and Russia.

PSA Group CEO Carlos Tavares said the strength of recovery from the coronavirus pandemic will determine whether a planned combination with Fiat Chrysler Automobiles can move ahead under terms agreed to last year.

“At this stage it is premature to discuss this matter as long as we don’t see the magnitude of the rebound both on the FCA and the PSA sides,” Tavares said Tuesday in a Bloomberg Television interview. “By the end of this year, after the rebound, we’ll see what will be the potential cash position” of the combined company, which will be named Stellantis.

In the months ahead, FCA and PSA need to focus on getting through the health crisis and rebuilding their balance sheets, he said.

The comments indicate the terms of the planned merger aren’t set in stone and could be revisited. The pandemic has triggered a seismic shift in the outlook for the industry since the automotive mega-deal was agreed at the end of last year. A planned 5.5 billion-euro ($6.5 billion) special dividend to be paid out to FCA shareholders has emerged as a sore point for some PSA investors. The two companies also have different views on tapping government support.

Shares in PSA jumped as much as 5.6 percent on Tuesday after the automaker reported a profit during the first six months of the year, suggesting it has weathered the storm better than feared after lockdowns hammered vehicle sales in some of its biggest markets. The French company will rebound in the second half, the CEO said.

The maker of Peugeot, Citroen, Vauxhall and Opel vehicles stuck to its medium-term financial outlook, and Tavares said it had shunned any French state-backed loans or guarantees -- unlike cross-town rival Renault SA -- in order to “remain in control of our destiny.”

By contrast, FCA last month agreed to a 6.3 billion-euro credit facility backed by the Italian government, a financing package that will be used for the manufacturer’s operations in Italy. The company is scheduled to report earnings on Friday.

Fiat Chrysler and PSA reached a deal last year to combine to create the world’s fourth-biggest carmaker. Fiat’s Agnelli family will be the biggest shareholder in the new company while Tavares will be CEO. He reiterated a target for closing the deal by the end of the first quarter next year and said discussions with the European Commission as part of an in-depth antitrust probe are progressing.

“We are in execution mode,” he said, adding that any changes to the terms of the deal would be decided by the boards.

Already, PSA and FCA scrapped a plan to each pay out 1.1 billion euros in dividends this year. Their deal also includes a plan for Fiat to distribute the special dividend while PSA would transfer to its own investors its 46 percent stake in supplier Faurecia, whose shares have dropped by about a fifth since the start of the year.

Yet the headwinds for the industry are formidable. The French manufacturer expects the European auto market to shrink by a quarter this year, with contractions of 10 percent in China as well as 30 percent in Latin America and Russia.

PSA Group will introduce a new architecture optimized for electric vehicles in 2023 that will underpin compact and midsize models.

The architecture, the Electric Vehicle Modular Platform or eVMP, will allow PSA to build battery-electric cars with a range of 400 km to 650 km, battery storage of 60 to 100 kilowatts, and up to 250 kilowatts of power, while still being efficient to build and produce, CEO Carlos Tavares said. That 650 km range “is what we believe we’ll need by 2025,” he added.

The platform will also be adapted for hybrid derivatives "for overseas markets," he said on Tuesday during PSA’s first-half financial results webcast, without providing details. The eVMP platform will allow for front-wheel or all-wheel-drive.

"We're preparing our platform strategy for when there are mostly EVs that will be sold," Tavares said, adding that the company’s vision is to transition from having two “multi-energy” platforms to having two dedicated electric-vehicle platforms.

By 2025, 100 percent of PSA's model range will have electrified versions, Tavares said. From 2025, PSA will have two dedicated electric vehicle platforms: eVMP and the coming eCMP, for small and what Tavares called "B-plus" segment cars.

The group's current full-electric models, introduced in 2019 and 2020, are compact and small cars such as the Peugeot e-208 that are built on the CMP "multi-energy" platform, which can accommodate gasoline, diesel or electric drivetrains. Larger compact and midsize vehicles are built on the EMP2 platform, which can accommodate plug-in hybrid powertrains as well as internal-combustion ones, but is not suitable for battery electric only.

A PSA spokeswoman said the new EV-optimized platforms would not immediately replace the group’s two current platforms. “This is a transition from two multi-energy platforms (CMP and EMP2) to two platforms dedicated to electric vehicles,” she said in an email.

Tavares said it was not yet the time to decide whether the eVMP platform would be used to underpin future vehicles from Fiat Chrysler Automobiles, as PSA and FCA have not yet finalized their merger agreement. But, he said, "it is quite clear that we believe in the competitiveness of eVMP, and at the appropriate time we'll discuss it with the other part of the family."

Analyst Philippe Houchois of Jefferies, in a note to investors, said the eVMP platform would be “a material source of savings for the PSA-FCA merger.”

Minimizing development, tooling costs

The eVMP platform has "extended carryover" from the EMP2 platform, PSA said, which has kept development costs to a minimum and avoided large-scale factory retooling. Tavares said the total cost was in the "hundreds of millions" of euros.

One key to cost savings is designing the platform so that it can use standard components such as battery packs. PSA is working toward fully integrating its electric vehicle supply chain, but battery cell production in two planned factories with Total/Saft, one in France and one in Germany, is not expected to come on line until 2023 at the earliest, Tavares said.

The first vehicle on the new platform is likely to be the next-generation 3008 compact SUV, which French President Emmanuel Macron announced at the end of May would be built at PSA's factory in Sochaux, eastern France. PSA is investing about 200 million euros to prepare the factory for the new platform.

Two of PSA Group's mass-market rivals, Volkswagen Group and Renault Group, have also recently developed platforms that are optimized for electric vehicles. VW Group's MEB, or modular electric drive matrix, will be used by the VW, Seat, Skoda and Audi brands, starting with the VW ID3 this summer. VW Group's development partner, Ford Motor, will also be able to use a version of it.

Renault's CMF-EV platform, jointly developed with Nissan, will appear in the Nissan Ariya SUV and at least two coming models from Renault by 2022.

FRANKFURT -- PSA Group expects Opel/Vauxhall's market share in Europe to bottom out in 2020 as the former General Motors subsidiary finishes weeding out slow-selling models from its range.

In June, the German automaker and its British sibling sold 42,582 vehicles in Europe, according to figures from industry association ACEA. That resulted in a market share of 3.8 percent, a low for this year and one of the worst monthly results in Opel/Vauxhall's history.

Global volumes of Opel and Vauxhall cars more than halved to just 266,118 in the first six months of 2020. A rare bright spot has been a 44 percent increase in orders during the period for the new Corsa small car, which now shares its underpinnings with the Peugeot 208.

Opel/Vauxhall was going through "a difficult moment in terms of market share," since cutting a significant number of models in 2019, PSA CEO Carlos Tavares said, adding that those models were discontinued because "they were not all profitable and secondly because some of them were not receiving the right technology in terms of CO2 performance."

Since it was acquired in August 2017 from GM, Opel/Vauxhall's share has fallen roughly 2 percentage points to 4.2 percent in the first half. During that period Opel has stopped selling the Karl/Viva and Adam minicars, Meriva small minivan, Zafira compact minivan and Cascada cabriolet.

Even the Mokka subcompact crossover was pulled despite it being Opel/Vauxhall's No. 3-selling model in 2018 after the Corsa and Astra. All six discontinued products were legacy models developed by Opel/Vauxhall's the former owner using GM platforms.

"What we had to do was rather brutal," Tavares said, adding that he believes share will begin growing again in 2021 after it debuts the new Mokka.

Opel/Vauxhall's remaining models with GM underpinnings are the Astra and Insignia, both of which will be replaced by 2024.

Despite its sharp declines in volume and market share, Opel/Vauxhall still achieved an underlying margin of 2 percent and contributed 110 million euros toward PSA's 731 million euros in automotive profits adjusted for one-off charges during the first half.

Tavares was particularly pleased with the development of Opel/Vauxhall pricing power. "We are now very close to the benchmark,' he said, "which we could not imagine a few years ago."

Opel/Vauxhall had originally targeted a four-percentage point improvement, which would have mean closing its pricing gap to 1.6 percent this year from 5.6 percent in 2017.

The calculation of pricing power has since changed, however, to reflect methodologies used by Peugeot, Citroen and DS and create a harmonized comparison.

Now the target is a 3 percent gap for 2021, with Opel/Vauxhall already safely on track to achieve that goal having narrowed it to just 1 percent for the first half.

PSA has offered to boost rival Toyota to try to address European Union antitrust concerns about its plan to merge with Fiat Chrysler Automobiles, people familiar with the matter said.

PSA has said it will increase production capacity for Toyota at their Sevelnord van joint venture in France, one of the sources said. Another source said the French company would sell the vans at close to cost price.

PSA builds the Peugeot Expert and Citroen Jumpy vans at the Sevelnord plant in northern France, as well as the Toyota ProAce.

PSA submitted its offer to the European Commission on Friday, three months after the EU enforcer opened a full-scale investigation into the deal with FCA on concerns that it would hurt hurt competition in small vans in 14 EU countries and Britain.

"As of now, the transaction has obtained merger clearance in fourteen jurisdictions. As previously stated, closing of the transaction is expected to occur in the first quarter of 2021," PSA and FCA said in a joint statement on Friday.

The European Commission, which temporarily halted its investigation into the deal in July while waiting for the companies to provide requested data, did not set a deadline for its decision.

"The deadline is still suspended. This procedure in merger investigations is activated if the parties fail to provide, in a timely fashion, an important piece of information that the Commission has requested from them," th Commission said.

It is now expected to seek feedback from customers and rivals before deciding whether to demand more concessions, or either clear or block the deal.

Sevelnord was originally a Simca Chrysler facility built in the early 1970s. The site lay dormant until the early 1990s, when it was selected as a production site for a PSA-Fiat light commercial vehicle partnership.

The PSA-Fiat partnership at the plant dissolved in 2012 and Toyota became PSA's van partner.
