BEIJING (Bloomberg) -- PSA/Peugeot-Citroen is holding talks with Dongfeng Motor in China to deepen their partnership in the world's largest auto market.

"It is important to examine all cooperation options to go further than now," CEO Philippe Varin told reporters following the inauguration of a new factory in Shenzhen, China, on Saturday.

PSA is considering selling a stake to Dongfeng to raise cash for expansion outside Europe, people familiar with the matter said earlier this month. The sale could lead the Peugeot family, which currently owns 25.5 percent of the shares, to lose control of the French company, the people said.

Dongfeng said on Friday that it was doing preliminary research on a possible investment in PSA after receiving information from banks but was "far from reaching a conclusion."

Varin said on Saturday that PSA first wants to ensure it has a good industrial project with Dongfeng. Then "we'll look at financing," he said

PSA now has three factories in China under a joint venture with Dongfeng,

Varin was in China for the inauguration of its fourth plant, which is a joint venture with Chang'An Automobile Group in the southern city of Shenzhen. PSA will use the plant to make upscale DS models and will start production with the DS5 model.

With the addition of the factory in Shenzhen, PSA will have capacity to build as many as 950,000 vehicles in China a year, more than double 2012's sales of 442,000 autos.

PSA mulls production cuts at two French factories
0 Comments Print Reprints Respond

November 21, 2013 11:42 CET
PARIS (Reuters) – PSA/Peugeot Citroen may close an assembly line at its Mulhouse plant in eastern France unless production picks up to more profitable levels.

The automaker will also review production at its Poissy plant near Paris.

"We've said there is a production threshold of 250,000 vehicles below which it's not viable to maintain two lines," a PSA spokesman said. "At Mulhouse this is an issue."

Mulhouse has two production lines and built 224,000 vehicles last year. The factory currently can assemble as many as 452,000 cars annually.

PSA is struggling with excess capacity left by Europe's crippling auto sales slump and has already closed its plant in Aulnay, near Paris.

The automaker has been preparing the ground for further politically sensitive cutbacks.

CEO Philippe Varin said in September that production line shutdowns were under consideration – while avoiding site closures -- and told unions that Mulhouse and Poissy could be affected.

PSA builds the Peugeot 2008 subcompact crossover and Citroen C4 and DS4 compact models at Mulhouse. The Citroen C3 and DS3 and Peugeot 208 subcompacts are built at Poissy.

Recovering European markets mean the Poissy plant is now less likely to lose an assembly line, the spokesman said after French newspaper Le Figaro reported that one line would be closed or mothballed at each plant.

The company has forecast annual production of 190,000 to 230,000 vehicles at Mulhouse in the coming years, well below its own threshold for keeping two lines open, but a healthier 240,000 to 270,000 at Poissy.

PSA targets a 100 percent plant utilization rate across Europe by 2016.

PSA share sale hits snag as Dongfeng seeks smaller stake, report says
2 Comments Print Reprints Respond

November 20, 2013 16:34 CET
PARIS (Bloomberg) -- PSA/Peugeot-Citroen's plan to raise funds through a share sale have hit a snag as China's Dongfeng Motor seeks a smaller stake than first discussed, people familiar with the matter said.

Dongfeng is weighing buying around 10 percent, half the size of the original proposal, said the people, who asked not to be identified discussing private talks. The Chinese company is more interested in expanding an existing industrial venture than buying a stake, they said.

PSA originally proposed a capital increase of at least 3 billion euros ($4.1 billion), in which Dongfeng and the French state would take equal stakes of about 20 percent, people familiar said last month

A smaller Dongfeng stake would potentially give the state, interested in protecting jobs and retaining the automaker's base in France, greater say.

Some in the Peugeot family, which owns 25.5 percent, are concerned about the French government's increased influence and want guaranteed board seats or other protections as a counterweight after a capital increase likely dilutes their holding, the people said.

Another option would be for PSA to sell its 57 percent Faurecia stake, with Canadian parts-maker Magna International and other industrial competitors showing interest in the French supplier, people said. PSA thus far has said that it intends to keep the holding.

GM partnership

A 10 percent stake by Dongfeng and focus on expanding the existing joint venture would more closely mirror the PSA's current partnership with General Motors Co., which owns 7 percent of PSA.

Dongfeng and PSA already operate three factories together in China, with annual production capacity set to rise by two-thirds to 750,000 vehicles by the end of 2015.

The share sale is progressing slower than planned as Dongfeng, the French government and PSA's controlling family bargain over influence and the size of their eventual holdings, with a final agreement not expected until the end of the year at the earliest, the people said.

PSA, which is also talking to other potential industrial partners, is not likely to look more closely at Faurecia until completing the Dongfeng deal, the people said.

PSA is also considering the sale of a stake in its banking unit and continues to hold talks with Banco Santander in Spain regarding a holding in Banque PSA Finance, people familiar said. A Santander representative couldn't immediately be reached for comment.

Family at odds

PSA family members are at odds with one another over how best to secure the automaker's future, with Thierry Peugeot, who heads the automaker's supervisory board, wanting to retain greater control and Robert Peugeot, who heads the publicly traded investment vehicle FFP, opposed to sticking additional funds into the carmaker, two people familiar with the matter said.

Their cousin, Jean-Philippe Peugeot, has been trying to negotiate between the opposing camps to reach an agreement, they said.

Jean-Philippe's support is critical to any final decision because he heads EPF, the family's unlisted holding company. EPF controls the listed FFP, which in turn owns the family's main Peugeot stake.

The family clashed with the French government last month after a state official went to China to discuss PSA without the knowledge of the family or carmaker's executives, a person said.

Louis Gallois, the government's PSA board representative, is now acting as the main conduit for negotiations between the family and government, the person said.

PSA reported a first-half operating loss in its automotive unit of 510 million euros and is looking to raise money for development spending and to expand outside Europe, where demand is at a two-decade low.

Pierre-Olivier Salmon, a PSA spokesman, declined to comment. Marianne Zalc-Muller, Industry Minister Arnaud Montebourg's spokeswoman and Tracy Fuerst, a Magna spokeswoman, didn't immediately respond to requests for comment. A call to Dongfeng's headquarters in Wuhan, China, outside of regular business hour was not answered.

PARIS (Reuters) -- PSA/Peugeot Citroen and Dongfeng Motor Group have agreed on the main terms of an alliance backed by a 3-4 billion-euro ($4.1-$5.5 billion) capital injection for the French carmaker, the Financial Times reported.

PSA and Dongfeng are in talks to build on their existing Chinese joint venture with cooperation in other markets and a multibillion-euro share issue that would see Dongfeng and the French government acquire stakes in the French carmaker, sources familiar with the matter have said.

According to the Financial Times report, which cited anonymous sources, the two carmakers are planning joint production of small cars for southeast Asian markets, underpinned by a transfer of unspecified technologies.

PSA had no immediate comment on the report, published by the newspaper on Wednesday.

January 17, 2014 12:19 CET
PARIS (Bloomberg) -- PSA/Peugeot-Citroen's board will meet on Sunday to discuss an investment of about 1 billion euros ($1.4 billion) from China's Dongfeng Motor Corp. and the French state, people familiar with the matter said.

Dongfeng and the French government would each invest at least 500 million euros in the scenario under discussion, said the people, who asked not to be identified because the negotiations aren't yet complete.

The Chinese automaker and the French state would each receive about 10 percent of the stock for their cash injection, one of the people said. PSA would later sell shares to bring the overall fundraising to 3 billion euros, the people said.

A decision on the size of the rights issue is still under review, and the Sunday meeting may not lead to a definitive agreement, the people said.

The controlling Peugeot family, which has run the automaker for 118 years, is divided over whether to accept the agreement, the people said. The family owns about 25.5 percent of the Paris-based carmaker's stock and would probably end up with about 15 percent of the company after its holding is diluted through a capital increase, one of the people said.

A deal with Wuhan, China-based Dongfeng would represent a defining moment in the history of the French carmaker, whose fate has been interwined with the family since the company's founding in 1896 by Armand Peugeot.

It also marks a shift in strategic emphasis after an alliance with General Motors Co. that included a 7 percent stake held by the Detroit-based company didn't produce expected cost reductions.

Financial losses

PSA for the first time on Dec. 12 acknowledged plans for a possible capital increase to boost its financing amid ongoing financial losses. Worsening auto markets and unfavorable exchange rates in Russia and Latin America will cause PSA to take a 1.1 billion-euro non-cash charge for 2013, it said in December. PSA reported a first-half operating loss of 510 million euros in its automotive unit.

Dongfeng and PSA already operate three factories together in China, the world's largest auto market, with annual production capacity set to rise by two-thirds to 750,000 vehicles by the end of 2015.

PSA spokesman Pierre-Olivier Salmon declined to comment. Calls after normal business hours to Dongfeng from Bloomberg News weren't answered.

* Peugeot board agrees outlines for Dongfeng deal -sources

* Two-stage share issue to raise 3 bln euros -sources

* Negotiations now to focus on price gap -source (Adds comments, details, background)

By Laurence Frost and Sophie Sassard

PARIS/LONDON, Jan 20 (Reuters) - French carmaker PSA Peugeot Citroen has taken a decisive step towards a tie-up with China's Dongfeng Motor Co., as the board approved the outlines of a contentious survival plan that divided the founding Peugeot family.

In a blow to Chairman Thierry Peugeot, who had championed an alternative plan, the board agreed in principle to a capital increase that would see the Chinese state-owned carmaker and French government acquire minority stakes and the family cede control, sources familiar with the matter said on Monday.

Peugeot executives declined to comment on the Dongfeng negotiations as they unveiled a further 4.9 percent decline in global vehicle deliveries for 2013.

The company's shares fell as much as 9.8 percent on news of the board decision to press ahead with the planned deal, which includes the issue of 3 billion euros ($4.1 billion) in new stock that would dilute existing shareholders.

"We're sceptical about this kind of plan - a very dilutive capital increase for a weak industrial project," said Florent Couvreur, a Paris-based analyst with CM-CIC Securities.

The operation would leave "three main shareholders with conflicting objectives", Couvreur added in a note to investors. "This is a rejection for Chairman Thierry Peugeot."

Peugeot has said it will need fresh funding to stay competitive and is pursuing talks on a deeper relationship with Dongfeng, its existing partner in a Chinese joint venture.

The two carmakers have been in discussions for months to extend cooperation to other Asian countries, backed by a multibillion-euro share issue in which Dongfeng and the French government would acquire significant stakes.

Peugeot, one of the worst casualties of a six-year European market slump to a two-decade low, is expected to confirm next month that it burned through about 1.5 billion euros in cash last year in addition to restructuring costs.

The plan would see Peugeot raise capital in two stages, according to both sources: a reserved capital increase in which Dongfeng and the French government acquired matching stakes, and a broader sale of new shares on the market.

With market conditions showing signs of improvement, Thierry Peugeot had pushed an alternative deal plan replacing the French government's role with a bigger share sale to the market, one source said, potentially also allowing the family to remain the biggest shareholder.

The Peugeot clan currently controls the carmaker through a 25 percent stake commanding 38 percent of voting rights.

But French ministers rejected that initiative, and the board gave its agreement in principle late on Sunday to a deal in which the family, French government and Dongfeng would end up with equal holdings, the person said.

The government "will do everything and use its influence to ensure PSA remains a major French carmaker," Finance Minister Pierre Moscovici said before the meeting.

The chairman's push for an alternative had also divided the family and management, sources said, because it departed from the framework backed by cousin Robert Peugeot, who heads the FFP family holding, and outgoing CEO Philippe Varin.

Thierry Peugeot's eventual replacement by a new independent chairman is now a given, according to one, with the French state favouring Louis Gallois, a senior civil servant and industrialist who already sits on the Peugeot board.

The green light clears the way for negotiations to begin in earnest on the deal price, with Dongfeng so far willing to offer about 7 euros and Peugeot holding out for 8 euros per share, another source said.

The size of the matching stakes - likely between 10 percent and 15 percent - will depend on the deal pricing and market conditions, which may also affect the relative size of the reserved share sale and market offering, the sources said.

Dongfeng and the French state would each contribute between 500 million and 800 million euros, according to one, with the Peugeot family also paying 100 million euros for new shares.

Peugeot shares were down 9.6 percent at 10.38 euros as of 1440 GMT, valuing the company at 3.72 billion euros.

The carmaker said its 2013 vehicle sales were weighed down by a 7.3 percent decline in Europe, where the Paris-based company does more than half of its business by volume.

The overall decline overcame gains in Latin America and China, where sales rose 26 percent to 557,000 vehicles.

Sales also tumbled 22 percent in Russia, and the company lost a further 144,000 deliveries of semi-assembled vehicles as a result of U.S.-led sanctions that have crippled Iranian production by Western automakers.

Varin will be replaced later this year by former Renault second-in-command Carlos Tavares, who joined Peugeot as CEO-in-waiting on Jan. 1. ($1 = 0.7376 euros) (Additional reporting by Gilles Guillaume; Editing by Mark John, Mark Potter and David Evans)

* Peugeot and Dongfeng to announce tie-up - sources

* Past restructuring was "painful enough" - minister

* Investors awaiting turnaround plans - analysts (Edits)

By Laurence Frost and Gilles Guillaume

PARIS, Feb 18 (Reuters) - PSA Peugeot Citroen and China's Dongfeng have agreed a 3 billion euro ($4.1 billion) capital tie-up that buys the French carmaker more time to turn its business around, brings in new management and ends two centuries of family control.

Peugeot and Dongfeng have signed a non-binding outline agreement, two sources with knowledge of the matter told Reuters before an official announcement set for Wednesday.

Peugeot Chief Executive Philippe Varin and former Renault executive Carlos Tavares, who will replace Varin when the deal is finalised, must now explain how the fresh capital can be used to improve the bottom line, analysts said.

"Expectations are running high," London-based ISI Group analyst Erich Hauser said in a note. "PSA (Peugeot) needs to show a new equity story to keep investors interested."

Both companies declined to comment.

Under the memorandum of understanding signed on Tuesday, Dongfeng Motor Group and the French state will each pay about 800 million euros for a 14-percent stake in a reserved share sale and a rights issue, sources have said.

Existing shareholders will get warrants entitling them to more stock at the same 7.50 euro price as the reserved issue, a 40-percent discount to their market value, raising up to a further billion euros.

The Peugeot family will see its 25.4-percent stake and 38 percent of voting rights diluted to parity with Dongfeng and the French state, ceding control of the company it founded in 1810 as a maker of tools and coffee mills.

The rescue deal and a new lending partnership with Banco Santander will help Peugeot survive the expiry next year of 7 billion euros in state guarantees keeping its lending arm afloat, sources say.

It will also reinforce the Peugeot and Dongfeng Chinese joint venture with increased production, a new research and development centre and expansion into Southeast Asian markets.

Under Peugeot family control, the carmaker has been slow to adapt to competitive threats and missed opportunities to deepen partnerships with BMW, Toyota and Mitsubishi Motors, insiders say.

Analysts say Dongfeng's cash buys time but does not address the European problems behind much of Peugeot's 3 billion euro cash burn and 5 billion net loss in 2012.

The company needs to scrap another plant and freeze investment to return to profit in the region, Max Warburton of Bernstein Research said on Feb. 14.

While the remedy would be "risky, disruptive and stressful", Warburton said, "there's still a chance Peugeot can trade its way out of its current difficulties".

But the French government, which initially obstructed last year's closure of the Aulnay factory near Paris, has already warned it is unlikely to accept further significant plant cuts in its new role as a major shareholder.

Further closures "are not on the agenda", Industry Minister Arnaud Montebourg told France Inter radio on Tuesday. "The restructuring has already happened, and it was painful enough."

Peugeot is expected to meet existing commitments to build at least one new model at each French site and produce 1 million vehicles domestically by 2016, Montebourg said.

Peugeot shares were down 1.3 percent at 1530 GMT. Dongfeng had closed 1.6 percent lower on Monday before trading was suspended pending the announcements.

Dongfeng is the latest Chinese carmaker to take a significant stake in a Western peer after Zhejiang Geely Holding bought Sweden's Volvo Car in 2010 and SAIC Group acquired South Korea's SSangyong.

Besides putting some of its 24 billion yuan ($3.96 billion) of cash reserves to work, some sceptics have questioned what the Chinese carmaker and its own Fengshen line of vehicles stand to gain from the tie-up.

According to people with knowledge of the agreement, the carmakers will roll out technology including Peugeot's fuel-saving HybridAir transmissions - which store recovered energy in a compressed gas cylinder - under both companies' brands.

The deal, which follows months of talks and remains subject to a Peugeot shareholder vote, is likely to be signed formally during Chinese President Xi Jinping's visit to Paris in late March, sources say. ($1 = 0.7298 euros) ($1 = 6.0641 Chinese yuan)
