STOCKHOLM -- China's Geely Holding is in advanced discussions with banks to list its Volvo Cars unit in the coming weeks, three sources told Reuters, in what is expected to be one of Europe's biggest initial public offerings this year.

Volvo is aiming for a valuation of about $20 billion in the planned Stockholm listing, the sources said, with one saying the launch was pencilled in for the end of September.

Goldman Sachs and SEB are leading the transaction, while other banks including BNP Paribas, Carnegie and HSBC are also involved in the deal, the sources added.

Geely did not immediately respond to an emailed request for comment outside normal business hours in China.

SEB and Goldman Sachs declined to comment. The other banks were not immediately available.

Volvo also declined to comment but Automotive News Europe sister publication Automotive News interviewed CEO Hakan Samuelsson for a separate story on Wednesday and asked him whether he thought the current chip shortage would dampen investor interest in the IPO.

"The financial markets understand that this is something the whole industry is now experiencing. Everybody has the same [struggle]," Samuelsson said. "For an investor, this is a short-term disturbance."

Samuelsson said a decision on the listing would be made "by the end of this year."

Geely, which bought Volvo from Ford Motor more than a decade ago in the biggest acquisition by a Chinese firm of a foreign car maker, sought to float shares in the Swedish brand in 2018 but then pulled the deal citing trade tensions and a downturn in automotive stocks.

Traditional automakers have fallen out of favor with investor in recent years, as Tesla has risen to be one of the world's most valuable companies, putting the focus on electric vehicles.

Many European firms have pivoted toward the electric sector, including Volvo, which aims to only make full-electric vehicles by 2030 and owns a 49.5 percent stake in electric car maker Polestar.

Valuation

Thje Gothenburg-based company aims to secure a valuation of roughly $20 billion, one of the sources said, while another mentioned a possible range of $20 billion to $30 billion.

A third source suggested a $16 billion valuation was more realistic, citing the firm's revenue outlook.

A $20 billion valuation for Volvo would be equivalent to six to seven times its earnings, a level some analysts say is high although it would put it in line with rivals Daimler and BMW.

Tesla's market valuation is about $745 billion.

General Motors' valuation is about $74.5 billion.

NordLB's automotive analyst Frank Schwope estimated a valuation range of $10 billion to $15 billion.

"The strong margins seen in the first half of 2021 are unlikely sustainable as the market benefited from a strong post-pandemic rebound that is unlikely to continue," Schwope said.

For Geely founder Li Shufu, who bought Volvo for $1.8 billion, the listing is a milestone on the road toward transportion of the future, where cars are part of an electrified network of mobility services generating data and business opportunities.

A slew of startups have tapped into the investor frenzy for EVs this year.

Rivian, which rolled its first electric pickup off the production line this week, will seek a valuation of about $70 billion to $80 billion when it goes public at the end of this year, sources have told Reuters.

Nordea Chief Investment Officer John Hernander said the bank was interested in buying Volvo shares if a big enough chunk of the company was sold to keep liquidity high.

"That is key. We and many others have been really disappointed in the low liquidity in Traton," he said, drawing parallels to the 2019 IPO of the truck unit, in which owner Volkswagen floated 11.5 percent of the shares.

Volvo warned this month that sales volumes in the second half of 2021 could fall year on year after it had been forced to cut production due to material shortages.

Volvo Cars subsidiary Polestar has agreed to go public through a merger with blank-check firm Gores Guggenheim at a valuation of $20 billion, the company said Monday.

Once the deal is closed, the new public company will be named Polestar Automotive Holding UK Limited, which is expected to be listed on Nasdaq under the ticker symbol PSNY.

The new company's enterprise value represents approximately three times its estimated 2023 revenue and 1.5 times its 2024 estimated revenue, according to the release.

Current Polestar equity holders will retain approximately 94 percent ownership in Polestar and roll 100 percent of their equity interests into the pro forma company.

The $20 billion figure matches the reported valuation of Volvo, which plans to list on the Stockholm stock exchange this year. It is also double the value of Renault Group.

Other electric vehicle startups that that are already on the market include U.S.-based Lucid Motors, which is also positioning itself as a premium EV maker, had a market capitalization of $40.7 billion as of Friday. Among recent Chinese market entrants, Nio has a valuation of $58 billion, XPeng is valued at $30.2 billion and Li Auto at $27.4 billion.

Polestar CEO Thomas Ingenlath has watched on the sidelines as the above-mentioned companies have entered the stock market with high valuations but with limited product portfolios.

"Our company deserves trust because we have spent years establishing our credibility," Ingenlath told Automotive News Europe. "We are out there with two great cars [the Polestar 1 plug-in hybrid and full-electric Polestar 2], and we have a plan that is not a fancy dream. It is reality.

He said the next model, the Polestar 3, which will be the size of a Porsche Cayenne, is in the prototype phase and is already undergoing crash tests.

"Our Polestar 4, our second SUV, left the design studio a long time ago," Ingenlath said, adding that the coupe-styled crossover would be the size of a Porsche Macan.

The third of the three models coming by 2024 is the Polestar Precept.

"Those cars are our future, and that future will be amazing and really exciting," he said.

Roughly $1.05 billion of proceeds will help Polestar bring three new models to market within the next three years.

Volvo announced separately that it will invest as much as $600 million more in Polestar in connection with the Gores Guggenheim combination, giving it a close to 50 percent holding.

Polestar raised $550 million in external funding in April and announced plans in June to build the SUV at Volvo’s U.S. plant in South Carolina starting in the second half of 2022.

Polestar delivered approximately 10,000 vehicles in 2020 and is targeting 29,000 vehicle sales this year.

Polestar expected deliveries to grow to 290,000 in 2025, when it expects to make a roughly 9 percent margin on earnings before interest and taxes.

It’s operating in 14 markets now and planning to be in 30 by the end of 2023.

Ingenlath said the automaker will not need to add a car plant to meet its 2025 volume target.

"We have access to existing manufacturing footprint in the group," he said. "That is why this [expansion] possible. We can concentrate on developing these cars."

Polestar says it's on track to double its global retail locations to 100 this year and the believes having 200 locations in 2022 is within reach.

"It's highly possible with the market expansion we are looking at," Polestar global sales boss Mike Whittington told Automotive News Europe in July.

The Tesla challenger has positioned the Polestar 2 as a direct rival to the Model 3.

Gores Guggenheim, led by Chairman Alec Gores and CEO Mark Stone, is sponsored by affiliates of Gores Group and Guggenheim Capital. It raised $800 million in a March initial public offering.

Volvo Cars to list on Stockholm exchange

Parent Geely will remain biggest shareholder

STOCKHOLM -- Volvo Cars intends to launch an initial public offering and list on the Nasdaq Stockholm stock exchange, in what would be one of Europe's biggest listings this year, the automaker said in a statement.

In 2018, Volvo and Geely postponed earlier plans to float shares in the Swedish automaker, due to trade tensions and a downturn in automotive stocks.

"The proposed IPO is expected to consist of the issuance of new shares by Volvo Cars to raise gross proceeds of approximately SEK 25 billion ($2.9 billion) and a potential partial sale of shares by Volvo Cars' main shareholder," the Sweden-based automaker said on Monday.

The offering will be divided into two parts:

To the general public in Sweden, Denmark, Finland and NorwayTo institutional investors in Sweden and abroad

It added that the first day of trading was expected to be in 2021 and that Geely would remain it biggest shareholder.

"The decision to proceed with an IPO will help strengthen our brand and accelerate our transformation strategy -- toward full electrification, direct consumer relationships and the next level of safety. This will position the company to deliver continuous growing volumes, revenues and profitability," Volvo CEO Hakan Samuelsson said in the statement.

Sources told Reuters last month that China's Geely Holding was in advanced discussions with banks to list the Swedish company in the coming weeks, aiming for a valuation of about $20 billion.

Volvo had previously said it was considering listing on the Stockholm stock exchange in the second half of 2021.

Volvo subsidiary Polestar last week announced it had agreed to go public through a merger with blank-check firm Gores Guggenheim at an enterprise value of $20 billion.

Volvo used the announcement of the IPO to reiterated its mid-decade goals, which include:

Global sales of 1.2 million cars a year by 2025, up from its all-time high of 705,452 in 2019EBIT margin of 8 to 10 percent40 percent reduction of CO2 emissions per car between 2018 and 202550 percent of sales to be full-electric cars50 percent of software development done in-house50 percent of sales conducted online.

Volvo's current Swedish institutional shareholders, AMF and Folksam, intend to keep their combined 2.2 percent stake in the automaker through preference shares following completion of the IPO.

Volvo Cars has hired former Dyson Group executive Jim Rowan as its new CEO to succeed Hakan Samuelsson.

Rowan was Dyson's CEO between 2017 and 2020 when the British tech company was developing an electric car, an idea it later dropped. Before working at Dyson, Rowan was chief operating officer at BlackBerry maker Research In Motion.

The 56-year-old Scottish executive will succeed Samuelsson, 70, on March 21, Volvo said in a statement on Tuesday.

Rowan is currently CEO at U.S-based consumer electronics brand Ember Technologies, a job he has held for less than a year. He is taking over just months after Volvo wrapped up its IPO, the biggest in Europe last year.

Rowan will face the task of steering the Swedish automaker, which is majority owned by China's Geely Holding, toward its goal of getting half of its global sales from full-electric cars by mid-decade and be an electric-only brand by 2030.

Volvo said Rowan's global experience in digitalization, disruption, innovation, engineering and supply chains will be valuable for the automaker to realize its strategic ambitions.

Samuelsson will remain as chairman of electric vehicle maker Polestar.

Samuelsson joined Volvo's board in 2010 and has been CEO at the automaker for almost 10 years, with his contract coming to an end this year.

Polestar, in which Volvo owns 49 percent, aims to go public through a reverse merger with special-purpose acquisition company (SPAC) Gores Guggenheim. The deal is expected to close in the first half of 2022.

Rowan was Dyson CEO from 2017 to 2020 and chief operating officer from 2012 to 2017. During his time at Dyson, Rowan delivered record growth and financial results for Dyson, according to Volvo's release.

Rowan worked for Research In Motion as COO from 2008-2012. During the period the company boosted revenue to $20 billion from $5 billion.

From 1998 to 2005 he was vice president of operations at Flextronics, a $25 billion global manufacturing company with more than 200,000 employees at more than 100 factories worldwide.

Rowan was born in Glasgow. He studied mechanical and production engineering and electrical and electronic engineering at Glasgow Caledonian University and Glasgow School of Technology. He holds a master's degree in business with supply chain management and logistics from Northumbria University, northern England.

Volvo Cars will invest 1.2 billion euros ($1.25 billion) to build a new manufacturing plant in Kosice, Slovakia, capable of making 250,000 electric vehicles a year, the automaker said on Friday.

Volvo aims to be an electric-only brand by 2030 and to reach that goal it has said it would need to add another plant in Europe.

Construction of the Kosice factory is set to start next year. Series production of Volvo's next-generation EVs is scheduled to start in 2026, the company said, adding that about 20 percent of the investment is expected to be covered by the Slovakian government.

“Expansion in Europe, our largest sales region, is crucial to our shift to electrification and continued growth," Volvo CEO Jim Rowan said in the release.

Volvo's first new plant in Europe in almost 60 years will be it's third in the region, joining factories in Torslanda, Sweden, and Ghent, Belgium, which have a combined annual capacity of 600,000 vehicles.

Volvo mulls third factory in Europe
Volvo executive board member Bjorn Annwal last year that for the automaker to go beyond a target of selling 1.2 million vehicles annually in 2025 it would need to add another plant.

Volvo, which aims to have climate neutral manufacturing operations by 2025, said the plant will only use climate neutral energy.

Volvo's plant will be the fifth vehicle assembly factory in the country. The other plants are between 250 and 450 km away in Bratislava (Volkswagen Group), Tranva (Stellantis), Zilina (Kia) and Nitra (Jaguar Land Rover).

Adesso devono portare a casa i risultati.

LOS ANGELES — Electric vehicle maker Polestar is witnessing the downside of the "asset-light" strategy that is key to its rapid growth plan.

To operate fast and easy, Polestar is reliant on global partners to help produce its models. But when those partners can't deliver according to plan, Polestar's strategy can slow down its growth.

That is what is happening to the Swedish startup.

Polestar is part of a portfolio of brands controlled by China's Zhejiang Geely Holding Group, which includes Volvo Cars, Lynk & Co and Lotus. The Chinese conglomerate's network of global factories, supplier networks and R&D centers allow the young brand to focus on product and technology rather than manufacturing or logistics, according to the plan.

But software-related hiccups in the development of Volvo's new SPA2 vehicle platform could complicate Polestar's ambitions to expand in the U.S. market.

The Polestar 3 midsize crossover, based on the SPA2 architecture, has been delayed by nearly a year, causing a cascading effect on Polestar's commercial strategy. The fledgling brand suddenly finds itself juggling back-to-back product rollouts.

The Polestar 3 is now expected in U.S. stores in the fourth quarter, and only about nine months later comes the coupe-style Polestar 4 crossover.

"When everybody is scared of one launch, how can we launch two cars from an industrial point of view?" wondered CEO Thomas Ingenlath in an interview with Automotive News on the sidelines of a Polestar 3 event here.

Polestar's model of leveraging Volvo and Geely factories and engineering teams makes a rapid product rollout possible, Ingenlath said.

Scaling fast
Polestar's predicament illustrates the downside of reliance on others for product development and manufacturing.

DAILY NEWSLETTER: Sign up and get the top news of the day in Europe every business weekday.

EMAIL ADDRESS

The delay of Polestar's first crossover and a critical U.S. model is hurting its retailers' bottom lines.

With just one model to sell, dealers say they don't have throughput to justify their investment in high-rent shopping center stores.

"A year earlier or later makes a difference in the marketplace where competitors are developing cars," said Ingenlath, a lanky German designer with a penchant for tailored suits and turtlenecks.

While Polestar can't fully control its destiny with the collaborative model, Ingenlath said it's still a more pragmatic approach for rapidly scaling up. By about mid-decade, Polestar will flesh out its model lineup with crossovers, a large sedan and a roadster.

"We would be in a completely different situation," Ingenlath said, if Polestar had instead decided to build its cars from scratch.

The CEO points to Tesla, the only automotive startup in recent history to achieve market scale, as an example of how long the go-it-alone strategy would take Polestar.

"Tesla has been doing this now for over a decade," Ingenlath said. "That definitely takes a long, long time."

Multiple launches
The back-to-back launches that are coming will undoubtedly strain Polestar's marketing and commercial teams, but Ingenlath does not expect much sales cannibalization. The two models "are very different in what they represent and what they do," he said.

He described the Porsche Cayenne-size, high-riding Polestar 3 as more of a "true SUV."

In contrast, the sportier Polestar 4 is more of a "four-door GT but with a little bit elevated position."

Model pricing will also create differentiation.

The Polestar 3, starting at $85,300 including shipping, aims at the upper end of the premium crossover segment, while the Polestar 4 is more affordable luxury.

"A car from $60,000 reaches a completely different target audience than a car in the $80,000 range," Ingenath said.

Charleston-made
Polestar's crossovers will be built at Volvo and Geely plants.

The Polestar 3 will be the brand's first U.S.-built model, with production at Volvo's 2.3-million-square-foot factory, an hour northwest of Charleston, South Carolina.

"Charleston is super important" for Polestar's ambitions in the U.S., Ingenlath said. The assembly plant will supply the global output of Polestar 3, except for China.

Domestic production is good from an economic point of view, but also psychologically, Ingenlath said.

"It's such a strong signal for the U.S. market that we come here and produce a car that we sell here — and export the car from the U.S.," he said.

Due to its sticker price, the dual-motor Polestar 3 will not initially qualify for federal EV tax credits under the Inflation Reduction Act despite domestic production. But a new single-motor variant that should arrive in the second half of 2024 will be priced below the $80,000 threshold to claim the federal tax incentives of up to $7,500.

Weighing options
The Polestar 4, based on Geely's SEA platform, faces a hefty 27.5 percent U.S. tariff levied on Chinese imports, putting a wrinkle in the model's mass-market aspirations.

Ingenlath said the company is "evaluating" manufacturing options outside China.

The Geely group's global production network is "something we can leverage," the CEO said. "If there is an attractive and economically feasible solution, we will consider bringing [Polestar 4 production] somewhere else."

But locating Polestar 4 production stateside is unlikely because Geely would need a factory and supplier network here.

Ingenlath said it is "impossible" to build every model in the portfolio in every region in which they sell.

The Polestar 4 could also benefit from a U.S. trade agreement that allows the automaker to offset import tariffs with the export of U.S.-made models.

"The cars that we produce that we export help us to import the cars that we don't produce here," Ingenlath said

Abiamo fatto vincere Pechino, punto.

In realtà stanno vincendo adesso.

Polestar Automotive Holding posted another operating loss in the second quarter as the electric vehicle maker struggled with software delays and intensifying competition.

While revenue surged in the U.K. and Sweden, it declined in key markets including the U.S. and China during the three months through June, the EV maker said Thursday. Polestar, owned by Volvo Car and Chinese billionaire Li Shufu’s private investment company, posted a $304 million net loss.

EV makers throughout Europe are struggling to gain market share amid intense competition from Tesla and Chinese manufacturers selling battery-powered vehicles at substantially lower prices.

Polestar’s results show ongoing woes at the company, which has only seen losses since its listing last year, pushing its stock down about 65 percent. Some shareholders are suing the architects of the listing, saying they were misled about the company’s value.

The company said the listing cost incurred in the second quarter of last year was $372 million. Excluding that one-time charge, Polestar's second quarter operating loss increased 8 percent to 19 million, CFO Johan Malmqvist said during a confernce call.

Polestar delivered 15,765 vehicles during the second quarter -- 36 percent more than the same period last year -- and kept in place its May forecast that it will deliver as many as 70,000 cars this year. The company is expected to ramp up volumes in the second half of the year, with Polestar 4 crossover production slated to begin in November.

Given the weakness in global markets, Polestar’s confirmation of its previous guidance on deliveries and a 4 percent gross margin for the full year is a “very strong signal,” CEO Thomas Ingenlath said in an interview. “It’s certainly not an environment where consumers are that easy to convince that they should buy a new car.”

Polestar reiterated that it will need to raise additional funds -- possibly by issuing new shares or bonds -- to support operations and ensure the company’s solvency. The company has repeatedly said there is “substantial doubt” about its ability to do so.

“We’ve said all along that through the actions we’ve taken, we are funded through the end of this year,” Malmqvist said. “We’re not guiding beyond that, aside from just mentioning that we’re working actively on it together with the two shareholders.”

He said that $1 billion of the $1.6 billion Polestar received from Volvo and Li’s private investment company to cover operation this year has been used.

Polestar also recently sold its factory in Chengdu, China, for $71 million to increase its liquidity, Malmqvist said.
