Fiat Chrysler Automobiles has completed the sale of car parts unit Magneti Marelli to Calsonic Kansei for 5.8 billion euros ($6.5 billion), slightly below the initial price tag due to the unit's changed financial position.

Fiat Chrysler last year agreed to sell Magneti Marelli to CK Holdings -- the parent of Japan's Calsonic Kansei and a vehicle of U.S. investment firm KKR -- for 6.2 billion euros to form the world's seventh-largest independent car parts supplier.

FCA said on Thursday that the price had been adjusted based on Magneti Marelli's estimated financial position as of the closing date.

"As part of this [deal], our relationship with FCA remains an important one, as we continue to serve them as part of our multi-year supply agreement," Calsonic Kansei and Magneti Marelli CEO Beda Bolzenius said in a release. "In being able to serve our customers as one firm, integration is a key priority -- both culturally and operationally."

The combined business will operate under the name Magneti Marelli CK Holdings Co., Ltd.

Magneti Marelli and Calsonic Kansei rank No. 28 and No. 29, respectively, on the Automotive News Europe list of the top 100 global suppliers with worldwide sales to automakers of $9.2 billion and $9.1 billion, respectively, in 2017.

Fiat Chrysler Automobiles CEO Mike Manley said he sees “very significant opportunities” to partner with other automakers on autonomy and electrification projects in the next two to three years.

Fiat is seeking to fix a business that is losing money in Asia and Europe while sales in North America, which generates the lion’s share of the company’s profits, are slowing. Manley told analysts Friday on a conference call he’s open to striking a deal with peers as European operations struggle with high labor costs at production sites in Italy and spending on electrification surges.

Manley, who succeeded Sergio Marchionne in July a few days before he died, is already expanding his collaboration on high-margin commercial vans in Europe with PSA Group.

The CEO said he would “absolutely” consider using PSA’s electric-vehicle architecture as the automaker works to meet tougher emissions rules in the region. The company is exploring a partnership with PSA to collaborate on a “super platform,” Bloomberg reported March 30.

Fiat will spend $2 billion over the next three years on regulatory emissions credits to ensure it’s compliant as it rolls out a slew of new plug-in hybrid and battery electric vehicles, whose appeal to consumers is still uncertain.

“I believe the next two to three years are going to yield very significant opportunities” to partner with other automakers, Manley said on an earnings call Friday. “FCA will be playing an active, constructive role in how that future is defined.”

Fiat shares jumped 6.2 percent to $15.97 in New York, the biggest rally since January on an intraday basis, as investors shrugged off lower-than-expected first-quarter profit and focused on Manley’s confirmation of 2019 earnings targets. The stock pared its losses in the past three months to 6.9 percent, versus a 3.9 percent average gain among industry peers.

Adjusted earnings before interest and taxes fell 29 percent from a year ago to 1.07 billion euros ($1.2 billion) in the first quarter, missing analyst estimates ranging from 1.19 billion euros to 1.82 billion euros. Manley said a new Jeep pickup and heavy-duty Ram truck will boost sales and profit margins in the second half of the year.

“The results are slightly below my expectations but they’re not a significant surprise,” Marco Opipari, an analyst with Fidentiis in Milan, said by phone. “The market is more focused on guidance at this point.”

Europe lost 19 million euros in the first quarter as volumes sank and the company continued to search for cost cuts as tougher emissions regulations force the automaker to spend more on electrification. Fiat is pooling its European fleet with Tesla in a multi-year deal that will likely cost it hundreds of millions of dollars.

Manley’s other turnaround project is the high-end Maserati brand, which saw global sales tumble 32 percent in the first quarter and adjusted profit plunge 87 percent to 11 million euros. He installed a new brand chief, Chief Technology Officer Harald Wester, in October to work on reducing bloated inventories. That process should drag on through the first half of 2019, Manley has said, and is also hampered by a lack of new products.

Profit in North America fell as U.S. deliveries slipped three percent in the first quarter, with only the Ram brand posting volume growth, though higher prices are bolstering results. Manley warned in February that the first half of 2019 would be weaker than a year ago because the company is no longer benefiting from selling two versions of its Jeep Wrangler -- the latest generation and a now-retired predecessor model.

Fiat’s business in Asia lost money for the fourth consecutive quarter as vehicle shipments fell 30 percent in China. The company announced a restructuring of Fiat’s Chinese joint venture with Guangzhou Automobile Group Co. this week, consolidating sales operations and appointing new leadership to “more rapidly respond” to changes in the local market. Jeep brand sales have been a disappointment in China, which is experiencing its first auto sales slowdown in almost three decades.

MILAN — Fiat Chrysler Automobiles plans to spend 1.8 billion euros ($2 billion) in the next three years to buy so-called regulatory credits to minimize the amount of emission-related fines it will pay in Europe and the U.S.

The figure was revealed by Chief Financial Officer Richard Palmer on May 3 during a conference call with analysts to discuss FCA’s first-quarter results.

Including 600 million euros ($670 million) spent in 2018, FCA is poised to spend at least 2.4 billion euros ($2.7 billion) from 2018 through 2021 on emission fines and regulatory-credit purchases. Based on what Palmer told analysts on the conference call, this is the complete picture:

After various deals with Tesla and other carmakers, FCA has committed 1.8 billion euros to buy regulatory credits over three years, 2019-21.
This year FCA will bear compliance costs of 120 million euros ($134 million) in Europe, the Middle East and Africa. Those costs will be higher next year, although the pooling agreement with Tesla is expected to significantly mitigate the increase. FCA CEO Mike Manley told analysts that without that agreement with Tesla, the EMEA compliance costs would have been close to 390 million euros ($436 million) in 2019.
Last year FCA had cash outlays, between credits and compliance payments, of about 600 million euros. That figure, which includes the U.S., will rise “moderately” this year.
According to analysts from PA Consulting Group, FCA's carbon dioxide emissions in Europe will fall to 98.5 g/km by 2021 from 120 g/km now, meaning the automaker will miss its regulatory target of 91.8 g/km. This leaves FCA at risk of an European Union fine of 700 million euro ($780 million) penalty in 2021, PA Consulting said in a report.

The agreement signed with Tesla on pooling CO2 emissions in Europe significantly reduces this risk. The final result for FCA, though, will depend on how successful Tesla will be in Europe.

FCA sold 21,446 cars in Europe in the first quarter, according to JATO Dynamics. Sales more than tripled from 6,228 in 2018, thanks to the successful launch of the Model 3 midsize sedan.

According to Chrysler Group reports and Automotive News calculations, FCA had already spent more than 1 billion euros ($1.1 billion) in regulatory credits through 2017, mainly buying from Tesla within the U.S. regulatory credit-trading system managed by the Environmental Protection Agency.

In the first quarter of 2019 alone, Tesla booked $200.6 million in revenue from the sale of regulatory credits.

The sum spent by FCA in fines and credit purchases compares with 9 billion euros ($10 billion) that it has promised to invest in the electrification of its product range within the 2018-22 business plan.

Manley told analysts that the credit purchases “are designed to minimize FCA’s cost of compliance and provide it with a strong hedge against a potential for a lower price recovery in the market than the cost of the technology.”

Following the strategy worked out by the late Sergio Marchionne, Manley thinks carmakers will initially have to sell electric vehicles at a loss, making the strategy of buying credits and paying the residual fines financially more viable.

Manley told analysts that the purchase of CO2 credits “is a complementary action to our investment and deployment of our electrified fleet, which will reach 17 nameplates by 2022. And it will bridge the period until we see the market acceptance, technology cost and infrastructure development reaching the point that may make the sale of heavily electrified vehicles more financially rational.”

As for the Europe, Middle East and Afica region, Manley said the Jeep Renegade and Compass plug-in hybrids will start production in early 2020, to be followed by the new Fiat 500 BEV and 10 additional launches of EVs over the following two years.

No mention was made of mild hybrids (gasoline engines with a starter/alternator powered by a 48-volt battery), which had a relevant role in the plan presented last June in Balocco, Italy. The first of those vehicles — the Ram 1500 pickup — was launched last year in the U.S.

How will the new technologies and purchases of regulatory credits split the burden of reaching CO2 compliance levels in Europe?

This year, Manley said, most of the burden will fall on purchasing credits (80 percent) and the rest on technological improvements to the current product range. As electrified vehicles are launched in 2020, their role will grow.

By 2021, Manley said, 40 percent of the compliance will come from conventional technology, 45 percent from electrification and 15 percent from purchased credits. By 2022, he said, the need for pooling deals will be “very, very small.”

A custom Maserati Levante S Q4 GranSport was displayed during the 2019 New York auto show last month.

Maserati will be the first of Fiat Chrysler Automobiles' brands to use self-driving technology being developed with BMW, FCA Chairman John Elkann said in a speech in Turin, Italy.

The technology will offer assisted-driving features on highways, Elkann told an industry group Monday, without specifying a date for deployment in Maserati vehicles.

Fiat Chrysler joined the self-driving technology consortium led by BMW in 2017. It also has autonomous vehicle development partnerships with Google affiliate Waymo and auto supplier Aptiv.

Luxury sports-car brand Maserati, which saw its sales plunge 32 percent in the first three months, has been struggling with a lack of new product and a sharp drop in demand from China.

MILAN — Fiat Chrysler Automobiles expects to restore profitability in Europe by the fourth quarter or earlier, CEO Mike Manley says, despite starting the year by reporting a loss.

Manley told analysts on FCA’s earnings call on May 5 that he expects “subsequent quarters will see a return to profitability, with the region recovering to around a 3 percent margin by the fourth quarter.”

FCA’s profit margin in Europe was 1.8 percent in 2018 after reaching a high of 3.23 percent in 2017, when Alfa Romeo production was running at full speed.

For the first quarter, however, FCA posted a loss of 19 million euros ($21.3 million) before interest and taxes in the Europe, Middle East and Africa region, just its second quarterly loss since 2015. In the same quarter last year, FCA posted a 182 million euro ($204 million) profit.

FCA revenue in the EMEA region fell 10 percent because of lower volumes. Vehicle shipments were down 44,000 units or 12 percent to 302,000, with the Alfa and Fiat brands accounting for nearly all the decline, Manley said.

Among the big players in the region, only Ford also announced first-quarter results. The U.S. automaker reported a 50 million euro ($57 million) profit, more than halved from the first quarter of 2018 but still a 0.7 percent margin.

Alfa sales drop
According to market researchers JATO Dynamics, sales of Alfa Romeo’s Giulietta hatchback dropped 42 percent in Europe in the first quarter, while deliveries of the Giulia midsize sedan fell 45 percent and the Stelvio midsize SUV was down 16 percent. In the U.S., Giulia sales were down 34 percent in the quarter, while Stelvio declined 16 percent.

All three Alfa Romeo models are produced in Cassino, Italy. FCA has cut production there to align it with declining demand. According to union sources, Cassino worked 10 days out of 21 in March and nine days out of 20 in April, with workers temporarily laid off.

FCA management said the decline in passenger car volume in the region primarily was a result of discontinued models and the decision to reduce dependence on low-margin channels, especially self-registrations. Dealer stock inventory was down 13,000 units from the end of the previous quarter.

Among the headwinds in the EMEA region, Manley also cited negative market pricing, adverse exchange rates and higher compliance costs, including the incorporation of new powertrain technologies.

Restructuring to save 100 million euros
“A number of factors” will drive the business to a better short-term performance, Manley said:

The reduction in sales through low-margin channels.
Jeep’s increase in sales.
“A number of restructuring activities” that will kick in late in the second quarter, although the full effect will not be seen until 2020. The head count reduction will affect both white and blue collars, Manley said. This year, he said, it will yield “a benefit between 80 and 100 million euros (run rate) by the fourth quarter.”
The restructuring is being driven by the need to “streamline the commercial side of the business,” Manley said, and by a weakness, compared to European peers, in how much of its plant capacity is being used. FCA will try to fix the latter both through its investments in electrification and by “working with the unions, making appropriate head count reduction,” he said.

Last December, FCA and the unions signed an agreement for up to 1,050 early retirements at the Mirafiori and Grugliasco plants, with 800 of those being blue-collar jobs. Company incentives for those retirements would be 4,000 to 38,000 euros ($4,500 to $42,500).

Both plants currently work on Maserati models.

The Maserati premium brand, which is reported separately from the EMEA region, also had a tough first quarter. Operating profit fell 87 percent to 11 million euros ($12.3 million), with a 2.3 percent margin. Shipments dropped 41 percent to 5,500, the lowest quarterly figure since the third quarter of 2013.

No new models until 2020

The three main EMEA-based brands of FCA — Fiat, Alfa Romeo and Maserati — have launched no new models since the Stelvio was unveiled at the Los Angeles Auto Show in November 2016. No launch is scheduled for this year, while a new battery electric Fiat 500 is expected to start production in 2020.

As far as Alfa Romeo is concerned, FCA’s 2018-22 business plan, presented last June, envisioned the launch of seven new or refreshed models. In Geneva, Alfa showed a concept version of a compact crossover, the Tonale. No schedule has been given for the possible launch of a production version.

IHS Markit analyst Ian Fletcher expects Alfa sales in the countries that are members of the European Union and European Free Trade Association will drop 17 percent to 68,900 vehicles this year, then slightly recover in 2020 to 74,500 on the back of the expected launch of the Tonale. “That model would be key,” Fletcher said.

Compass a sette posti.

A Betim nuovi motori e pick-up.

Automaker to produce two new Fiat SUVs in Brazil in 2020

Fiat adds $500 million to Latin American investment plan

Fiat Chrysler Automobiles NV is bringing a slew of new models to Brazil and expanding production at two local factories as part of a 16 billion reais ($4 billion) plan to regain lost market share in Latin America’s biggest economy, Chief Executive Officer Mike Manley said.

The Italian-American company increased its investment plan for Latin America by 2 billion reais through 2024, though it extended the time frame of outlays first announced in June by a year. The spending will go toward increasing annual capacity at a Jeep plant in Pernambuco to 350,000 units from 250,000 and building a new plant to produce more efficient turbo engines, Manley told a group of reporters on Wednesday.

“We want to make sure the Fiat brand remains very strong in Brazil’s marketplace,” Manley said during a visit to the Betim plant. “The Fiat brand is a vital part of our business.”In a sign the Fiat brand remains a key part of the company’s strategy, Fiat Chrysler said 15 new, refreshed, or special series models are planned for Fiat and 10 for its Jeep and Ram brands by 2024.

Latin America is critical to Manley’s plans to grow Fiat Chrysler’s business globally. It’s the only other region where the company made money in the first quarter besides North America, turning out 105 million euros ($117 million) in adjusted earnings before interest and taxes. The automaker’s profit margin in Latin America in the period was 5.4%, and it’s targeting "near-double-digit" profitability in the region over the five years through 2022.

Lost Share in Brazil

Fiat's market share for passenger cars/light commercial vehicles has shrunk

As of April, 2019

Fiat opened its first plant in Brazil in 1976 and the Fiat brand led sales in the country for 12 years until 2015. That ended after the company merged with Chrysler and began pouring resources into Jeep in an effort to make it more of a global brand, including starting local production of the Compass and Renegade models. While demand for Jeep’s higher-margin SUVs have boosted its Brazilian market share ranking to 4.8% from virtually zero four years ago, the budget-car Fiat brand has declined to third place.

Fiat was the first automaker in Brazil to establish manufacturing facilities outside the industrial center of Sao Paulo state, opening its plant in Betim, in the central state of Minas Gerais, in 1976. Giovanni Agnelli, grandson of the company’s founder and grandfather of Chairman John Elkann, attended the inauguration.

Today the factory makes engines, transmissions, and eight Fiat models, from the super compact Mobi to a commercial van called Doblo. It has annual capacity of 800,000 vehicles and 1.1 million engines and transmissions. The Jeep assembly plant in Pernambuco, in northeast Brazil, employs 5,000 people to manufacture the Jeep Renegade and Compass.

Brazil is one of the few regions outside Europe where the Fiat brand has achieved broad popularity. It’s been withering away in the U.S., where cheap gas prices and a love affair with trucks and SUVs have left its 500 compact car out of fashion. The brand has also largely disappeared from China. The future focus is on Europe, Brazil and emerging markets, people familiar with the company’s five-year plan said last June.

Fraternal Competition

The Betim plant will produce three new models starting in 2020, including two new SUVs for the Fiat brand, the company said. By that time, Fiat will have to contend with Volkswagen AG and even its own Jeep brand, Felipe Munoz-Vieira, an analyst with Jato Dynamics in Turin, said in an email.

“Brazil is one of the few remaining key markets of the Fiat brand, but it is not among the brands considered by the consumers looking for an SUV,” he said. “These two new SUVs of Fiat will certainly help the brand to regain market share, but by the time they will arrive,” Volkswagen and Jeep “will be well positioned in the segment.”

Fiat Chrysler’s Latin American investment compares with the 10 billion reais earmarked for the region by General Motors Co. for 2020-2024 and the 7 billion reais budgeted by Volkswagenthrough 2020. VW has been losing money in Latin America and expects to break even by 2020. GM Chief Executive Officer Mary Barra said in February that its South American business "remains a concern.”

E avrebbe quattro teste: Torino, Parigi, Tokyo e Detroit.

Fiat Chrysler Automobiles NV is considering a tie up with Renault SA, which could eventually lead them to becoming part of the Renault-Nissan Motor Co. alliance, according to people familiar with the matter.

FCA is talking to Renault about a partnership and could reach a preliminary agreement in the coming weeks, according to the people, who declined to be identified because the discussions aren’t public. Talks could still collapse, especially amid the tensions between existing partners Renault and Nissan, the people said.

Renault’s partnership with Nissan was thrust into the spotlight in November with the arrest of Carlos Ghosn, the chairman and architect of the global car-making alliance that also includes Mitsubishi Motors Corp. The arrest also triggered speculation that Renault was seeking to merge with Nissan, a move the Japanese company resisted.

FCA also held initial talks with PSA Group, the owner of French carmaker Peugeot, as it evaluates potential partners, the people said. Chairman John Elkann and Chief Executive Officer Mike Manley have made several trips to Paris since the beginning of the year for business meetings as part of their search for ways to make the carmaker stronger, the people said.

With sales falling in the world’s biggest car markets -- China, U.S. and Europe -- automakers are under intense pressure to combine efforts and investments as they develop expensive new technology such as self-driving cars and electric engines.

FCA declined to comment, while Renault didn’t immediately respond to a query sent after regular business hours. PSA is open to “opportunities that would create value on a long-term basis,” but based on 2018’s financial results, “there is no hurry to finalize any partnership,” according to an email statement.

The Financial Times reported on the talks earlier Saturday.

Le trattative sarebbero piuttosto avanzate. Non è chiaro se Nissan sia coinvolta.
